City of West HavenRFQ-P # 2026-23ON-CALL REAL ESTATE BROKERAGE SERVICESPROJECT SUMMARYThe City of West Haven is seeking sealed bids from qualified professional brokers, licensed topractice in the State of Connecticut, to negotiate and secure the City’s purchase and/or sale ofproperties located in West Haven. The purpose of this request is to reallocate these funds to theCity of West Haven to assist with the redevelopment on or near Elm Street and First Avenue,including traffic improvements, property acquisition and demolition, accessibility to thewaterfront, and street scaping.The City seeks to advance its development by acquiring and/or disposing of properties forredevelopment. Proposals received after this time and date specified above willbe rejected. No oral, telephonic, emailed, or faxed corrections, deletions, or additions to anyresponse shall be accepted. The City reserves the right to reject any or all responses, and to waiveany or all formalities in connection with this request. Proposals which do not incorporate ourrequested format, including quoting items as described, will not be considered. Unless otherwisestated in the solicitation. No alternate responses will be considered unless alternate responses arespecifically requested by the City. The City reserves the right to award multiple vendors underthis solicitation.A response to this solicitation does not permit the City to award a contract, to pay any costsincurred in the preparation of a response to this request, or to procure the city contract forservices, supplies or equipment. This contract is subject to state set-aside and contract compliancerequirements.INQUIRIES FOR CLARIFICATIONThe City will not respond to Respondents’ request(s) for oral interpretation and/or clarification ofthe Solicitation Specifications for any reason. The City will respond to Respondents’ writtenrequest(s) for interpretation and/or clarification of the Solicitation Specifications. Questionsregarding this solicitation should be emailed to Kathy Chambers (kchambers@westhaven-ct.gov). Telephone or oral questions will not be accepted. The email should include in thesubject line RFQ-P (2026-23 Real Estate Brokerage Services). The body of the email shouldcontain the question or clarification. Every interpretation made to a Respondent(s) will be in theform of an Addendum or Question & Answer to the Solicitation Documents.ADDENDUMS TO THIS SOLICITAIONAny Addendum(s) to this solicitation document shall become part of the solicitation.Respondent(s) are required to check the city website for addendum(s). Each Respondent(s) shallbe bound by such addenda whether received/viewed by the Respondent(s).SCOPE OF SERVICESThis RFQ-P is not limited to specific parcels, but the City prioritizes major corridors. TheAwardee's scope of services will include, but is not necessarily limited to, the following:• Coordinate mutually convenient bi-weekly calls / in person meetings with the EconomicDevelopment and Planning Departments unless in an active transaction wherein regularcommunication is already taking place.• Provide insight to parcels identified by the City as developable sites either throughestablished meeting times or in summary reports submitted to the City during interimmeeting periods.• Working with the Economic Development and Planning Departments, establish a list ofadditional parcels for the City's consideration.• Prepare baseline feasibility of development possibilities for each parcel using data eitherpublicly available or authorized by the City such as Appraisals, Environmental SiteAssessments, and reports such as the West Haven Downtown Municipal DevelopmentPlan.• Engage in legal due diligence activities such as secured transaction searches to assessproperty owner solvency, possible legal and financial risks such as Uniform CommercialCode liens, tax liens, judgements, etc. and report findings in a detailed summary.• Upon receiving written approval to proceed as directed by the City to negotiate withproperty owners, stakeholders, and or brokers regarding the acquisition or disposition of aproperty.• Prepare Offers to purchase parcels acting on behalf of the City only.• Negotiate as directed by the City, on behalf of the City, to prepare and present satisfactoryPurchase & Sale Agreements.• Prepare Purchase & Sale Agreements for City review, including Corporation Counsel,incorporating conditions approved during the negotiation period and any necessaryAddenda.RESOURCESTo assist the Awardees, the City will provide it with professional appraisals of properties that itwishes to acquire and/or dispose of, as well as contact information for the owners and/or theowners’ representatives of those properties it wishes to acquire.CONTRACT TERMThe term of the contract will be from April 1, 2026, to April 1, 2027.CERTIFICATIONS AND LICENSESInterested Respondents shall submit their responses, including supporting and requireddocumentation, according to the following requirements:• Respondents shall submit their responses by, through, or under the Agency holding abroker’s State of Connecticut license using said Agency’s letterhead and corporatebrochure. Responses shall include information on:o The Agency and its principal(s)o Recent notable transactions in which the broker represented a buyer• Respondents shall provide a copy of the Broker’s Active State of Connecticut Real EstateBroker license.• Respondents shall list their NAR Realtor® designation or provide satisfactory evidenceof completion of the current Ethics in Real Estate continuing education course with asatisfactory grade.• Respondents shall provide satisfactory proof of their membership and/or authorized useof the following listing services:o CT Multiple Listing Serviceo CoStar• Respondents shall provide their proposed commission (percentage of sale price) to bepaid at closing.• Respondents shall provide evidence of applicable insurance coverage such as GeneralLiability, E&O, in accordance with the City’s Vendor Application requirements (seebelow).Respondent(s) must have a valid Connecticut business license throughout the solicitationprocess. The awarded Respondent(s) must maintain an active Connecticut business license.Failure to reinstate an expired license within 14 days of notice may result in termination of thecontract.If the service(s) that the Respondent(s) is providing requires a license, certification, or other formof qualification, documentation must be provided at the time of submission. It is theresponsibility of the Respondent(s) to maintain a license through the entirety of the project.Failure to maintain a required license, certification, or other form of qualification will result in anautomatic void of the contract.COMPENSATIONThe City will provide the Awardees with compensation for the sale of each property, based uponthe contracted Commission Structure, upon the closing of the purchase of each property,regardless of when that closing occurs, provided that the binding PSA for that property occursduring the contract’s Term. Compensation will not exceed three percent (3%) per side of thetransaction. Compensation will be limited to a commission to be paid at closing.RFQ-P REQUIREMENTSInterested Respondents shall submit their responses, including supporting and requireddocumentation, according to the following requirements:
