05/29/2026 Answer: Yes, a Consultant is permitted to participate on multiple teams as a Subconsultant. However, per Section 1.9.1, if
submitting as a Prime Consultant, a Proposer may not participate as a Subconsultant on another proposal for the same solicitation.
Question/Comment: Could you please confirm the composition of the Evaluation/Selection Committee?

Question/Comment: Following the oral presentations/interviews phase, how many firms does the BMPO anticipate selecting for
contract award?

contracts with up to four (4) qualified Proposers to provide General Planning Consultant Services to the BMPO as more fully

Question/Comment: Section 1.14.4 states: Based on the Committee shall reduce the number of Proposers (shortlist) to a
minimum of four (4) for further evaluation to recommend award. How many awards does the Broward MPO intend to make

Question/Comment: If a subconsultant is on more than one team, can their personnel participate in an interview for more than
one team?

Answer: Per Section 1.14.5, Paragraph 5,” If a proposed Subconsultant is listed as a Subconsultant on more than one (1) team,
then it is the responsibility of the Subconsultant to disclose this information with each respective team.”
Question/Comment: Section 1.14.1 states that resumes are required for the proposed Project Manager and Project Leaders;
however, the RFQ does not define the term "Project Leader." Since the Scope of Services also requires firms to identify team
leaders for each task area, (1) can BMPO clarify whether a Project Leader refers to the designated lead individual for each
task category, or if a different definition is intended? (2) Additionally, should resumes be provided for all task area leaders
identified in the proposal?

Answer: (1) Yes, Project Leader refers to the designated lead individual for each Task category (do not include subtasks). For
example, Task 1 MPO Administration: 1 individual staff person for the entire task and not broken down by subtask.
(2) Yes, please provide one individual Task Leader resume for Tasks 1, 2, 3, 4, 5, 7, and 9.
Question/Comment: Proposer requests clarification and revision of Section 1.4 "Scope of Services" (page 40 of the RFQ
package, paragraph 4). The proposed revision adds a professional Standard of Care provision consistent with industry practice for
planning and engineering services agreements. The revision establishes an objective and recognized standard for evaluating
Consultant performance while preserving BMPO's rights and remedies under the Agreement.
Proposer’s Proposed Revision
1.4 Standard of Care. In performing the Services under this Agreement, CONTRACTOR shall perform in a manner consistent

the same time and in the same locality. No other warranty, express or implied, is made or intended by this Agreement.
Answer: This provision acknowledges conformance is expected to be consistent with that degree of care and skill ordinarily
exercised by that profession under similar circumstances at that time and locality.

Question/Comment: Proposer requests clarification and revision of Section 3.5 "Compensation" (page 41 of the RFQ package,
paragraph 1). The proposed revision incorporates the Standard of Care set forth in Section 1.4 to establish a clear and objective
standard for determining whether professional services are inadequate or defective. This promotes consistency in the
administration of the Agreement while preserving BMPO's right to withhold payment for services that do not meet the applicable
professional standard.

Proposer’s Proposed Revision
3.5 Notwithstanding any provision of this Agreement to the contrary, the BMPO Executive Director may withhold, in whole or in
part, payment to the extent necessary to protect BMPO from loss on account of inadequate or defective work that fails to meet the
Standard of Care set forth in Section 1.4 which and has not been remedied or resolved in a manner satisfactory to the Executive
Director. The amount withheld shall not be subject to payment of interest by BMPO.

Question/Comment: Proposer requests clarification and revision of Section 9.2 "Ownership of Documents" (page 47 of the RFQ
package, paragraph 1). The proposed language clarifies ownership of project-specific work product versus the Contractor's pre-
existing intellectual property and proprietary tools, while preserving BMPO's intended rights to use the deliverables under this
Agreement. The revisions also clarify responsibility for unauthorized modifications or reuse of the work product, consistent with
standard professional services practice.

9.2 Unless otherwise provided by law, any and all reports, surveys, and other data and documents provided or created in
connection with this Agreement are and shall remain the property of BMPO. In the event of termination of this Agreement, any
reports, photographs, surveys and other data and documents prepared by CONTRACTOR, whether finished or unfinished, shall
11 06/03/2026 become the property of BMPO and shall be delivered by CONTRACTOR to the BMPO Executive Director within seven (7) days
of termination of this Agreement by either party. Any compensation due to CONTRACTOR shall be withheld until all documents
are received as provided herein. Notwithstanding the foregoing, CONTRACTOR retains ownership of any pre-existing
intellectual property, proprietary tools, and methodologies used in performing the Services. To the extent such IP is incorporated
into the work product, CONTRACTOR grants BMPO a non-exclusive, royalty-free license to use it solely for the purposes
contemplated by this Agreement. BMPO shall not revise, alter, or reuse the work product for any purpose other than that
contemplated by or construction contractors who control means, methods, labor, and materials.

package, paragraph 3 & 4). The proposed revision incorporates the professional Standard of Care set forth in Section 1.4 and establishes an
objective, industry-recognized standard for evaluating Contractor performance while preserving BMPO's rights and remedies under the
Agreement.

9.10 CONTRACTOR represents that all persons delivering the services required by this Agreement have the knowledge and skills, either by

training, experience, education, or a combination thereof, to adequately and competently perform the duties, obligations, and services set forth
in the RFQ and to provide and perform such services to BMPO’s satisfaction, as determined in accordance with the applicable professional
standard of care, for the agreed compensation.
CONTRACTOR shall perform its duties, obligations and services under this Agreement in a skillful and respectable manner accordance with
the Standard of Care set forth in Section 1.4.
Answer: The requested changes are not accepted, and the original language remains the same.
Question/Comment: Proposer requests clarification and revision of the "Final Release On Contract And Affidavit" Form (page 78 of the RFP
package, paragraph 2 & 4). The revision clarifies that final payment resolves payment-related matters only and does not unintentionally waive
non-payment claims or obligations that survive completion of the Agreement. Limiting the release to payment claims preserves the BMPO's
ability to close out compensation while allowing the Agreement's remaining terms to continue as intended. Additionally, Proposer requests
deletion of “defend” because the proposed language expands the indemnification obligations contained in the Agreement and imposes a
defense obligation not included in the Agreement’s indemnification provision (Section 7.1). The Agreement’s indemnification provision is
consistent with Florida Statute § 725.08 for design professional services, and the Final Release Form should not impose broader obligations
than those negotiated in the Agreement.

waives for itself and its Subcontractors, material-person, successors and assigns, all undisputed payment claims, demands, damages, costs and
expenses, whether in contract or in tort, against the Broward Metropolitan Planning Organization (“BMPO”) existing under the laws of the
State of Florida relating in any way to the performance of Agreement No. between THE BMPO and <Contractor>.
<Contractor> agrees to indemnify, defend and save hold harmless the BMPO from all demands or suits, actions, claims of liens or other
charges filed or asserted against the BMPO, arising out of to the extent caused by the negligence, recklessness, or intentionally wrongful
conduct in the performance by <Contractor> of the Work covered by this Final Release on Contract and Affidavit.
