Additional analysis, evaluation, and professional opinion regarding utility assets anddepreciation issues may also be required.1.4 BACKGROUND AND CURRENT ENVIRONMENTThe Staff of the APSC is involved in a wide variety of proceedings addressing complex regulatory issuesbefore the Commission. The Staff has developed substantial expertise in regulatory proceedings beforethe Commission and will continue to perform the majority of the work in these proceedings. However,because of the complexity, magnitude, and software costs associated with performing depreciationstudies, and their potentially prominent effect on customer rate base in the utility rate-making process, theassistance of an expert Consulting Firm experienced in these matters and with access to PowerPlan orproprietary software capable of performing depreciation studies is necessary to ensure the adequateprotection of the public interest in Arkansas. The RFP is being issued to engage an experiencedConsulting Firm to manage and perform utility depreciation studies for regulatory rate-making purposes inelectric, gas and water rate cases, as well as to potentially address other related utility asset anddepreciation issues.1.5 TYPE OF CONTRACTA. As a result of this RFP, the APSC intends to award a contract to a single Contractor.B. The anticipated starting date for any resulting contract is August 1, 2026, except that the actualcontract start date may be adjusted unilaterally by the State for up to three (3) calendar months. Bysubmitting a signed proposal in response to the RFP, the Prospective Contractor represents andwarrants that it will honor its proposal as being held open as irrevocable for this period.C. The initial term of a resulting contract will be for one (1) year. Upon mutual agreement by theContractor and APSC, the contract may be renewed for up to six (6) additional one-year terms orportions thereof, not to exceed a total aggregate contract term of seven (7) consecutive years.1.6 DEFINITION OF TERMSA. Unless otherwise defined herein, all terms defined in Arkansas Procurement Law have the samemeanings herein.B. “Prospective Contractor” means a responsible offeror who submits a proposal in response to thisSolicitation.C. The terms “Request for Proposal,” “RFP,” and “Solicitation” are used synonymously in thisdocument.Rev 08/2025APSC-26-001Page 2 of 15D. “Requirement” means a term, condition, provision, deliverable, Specification, or a combinationthereof, that is obligated under the Solicitation, resulting contract, or both.E. “Responsive Proposal” means a proposal submitted in response to this Solicitation that conforms inall material respects to this RFP.F. “Shall” and “must” mean the imperative and are used to identify Requirements.G. “Specification” means any technical or purchase description or other description of the physical orfunctional characteristics, or of the nature, of a commodity or service. “Specification” may include adescription of any Requirement for inspecting, testing, or preparing a commodity or service fordelivery.H. “State” means the State of Arkansas. When the term “State” is used herein to reference anyobligation of the State under a contract that results from this Solicitation, that obligation is limited tothe Department using such a contract.I. The General Staff of the Arkansas Public Service Commission has made every effort to use industry-accepted terminology in the Contractor Solicitation and will attempt to further clarify any point of anitem in question as indicated in Clarification of Bid Solicitation.1.7 SOLICITATION SCHEDULEFor informational purposes, a Solicitation Schedule is provided below. Prospective Contractors’ written questions will be consolidated and responded to by the APSCas deemed appropriate. Only an addendum written and authorized by the APSC will modify the Solicitation.1.9 RESPONSE DOCUMENTSA. Original Technical Proposal Packet1. Responses within the Information for Evaluation sections must not contain the ProspectiveContractor’s name or address. For Personnel under section E.2, please identify personnel onlyby first and last initial only (“H.S.” for example).2. Prospective Contractors shall utilize the Technical Proposal Packet to submit their responses.3. The following items are proposal submission requirements and must be submitted as ahardcopy part of a Prospective Contractor’s proposal response.a. Original, signed Proposal Signature Page. Signature may be ink or digital.b. One original hardcopy of the Technical Proposal response to the Information for Evaluationsection included in the Technical Proposal Packet, which must be in the English language.c. Copy of Prospective Contractor’s Equal Opportunity Policy.i. Pursuant to Arkansas Code Annotated § 19-60-104, OSP requires a ProspectiveContractor bidding on a state contract to submit a copy of the Prospective Contractor’sEqual Opportunity (EO) Policy.ii. Prospective Contractors not required by law to have an EO Policy must submit a writtenstatement to that effect.4. The following items, which must be submitted prior to a contract award to the ProspectiveContractor, may also be included with the Prospective Contractor’s proposal:a. Prospective Contractor’s proposals cannot be altered or amended after the proposal opening exceptas permitted by law or rule.STRATEGIC OBJECTIVESECTION 2 – REQUIREMENTSThe Commission seeks solutions that provide high-quality depreciation studies while enhancingtransparency, auditability, and the Commission’s long-term ability to understand and independentlyevaluate depreciation analyses.2.1 PROSPECTIVE CONTRACTOR MINIMUM QUALIFICATIONSA. The Prospective Contractor shall be an experienced Consulting Firm that has performed multipleregulatory utility depreciation studies for rate-making purposes on behalf of electric, gas and/or waterutilities, and regulatory clients such as Public Utility or Public Service Commissions. The ConsultingFirm will be expected to (1) conduct research, (2) perform and manage depreciation studies in atimely manner, (3) prepare analysis, reports, comments, testimony and exhibits as required, (4)participate in settlement and/or collaborative discussions, and (5) appear as an expert witnessat any public hearings.B. The Consulting Firm will either be a seasoned user and client of PowerPlan DepreciationStudies software, or have an established and seasoned proprietary (“in-house”) softwareapplication that readily fulfills the depreciation study requirements listed in Section 2.4, below.2.2 GENERAL REQUIREMENTSA. Background. The Commission has jurisdiction over four investor-owned andseventeen cooperative electric distribution companies,one cooperative generation andtransmission company, two regional transmission organizations, two water utilities, andthree natural gas distribution companies. The Electric Utility Regulatory Reform Act of2003, Act 204, codified the Commission's jurisdiction over the sale and transfer ofcontrol of electric transmission facilities, affiliate transactions, transition costs, andresource planning and acquisition of generation capacity. Arkansas is currentlypositioned within two transmission regions separated by a "seam". Transmission in thewestern part of the state is planned and managed directly by the Southwest PowerPool (SPP), and transmission in the remainder of the state is planned by theMidcontinent Independent System Operator (MISO). Four electric utilities, OklahomaGas and Electric Company, Southwestern Electric Power Company,The EmpireDistrict Electric Company,and Arkansas Electric Cooperative Corporation (AECC) , aremembers of SPP. Entergy Arkansas, Inc. and AECC are members of MISO.B. Statement of Work1. Introduction - This Section of the RFP addresses the detailed requirements for thework to be performed during the term of the contract. The Consulting Firm’s bid willcover all of the items listed in subsection (4), below. The Consulting Firm'sproposal shall clearly reflect an understanding of, and agreement with, the statedrequirements of the RFP. Submission of a proposal indicates acceptance of theconditions contained inthe RFP, unless clearly indicated otherwise.2.
