()__________________, 2021The undersigned hereby proposes to furnish all labor, services, plant, equipment, materials, supplies and other facilities and things necessary andproper for, or incidental to, the performance and completion of the following work subject to the conditions and instructions attached:Portable ToiletsFor City of Buffalo Parksper the Scope of Work Described in Attachment AContract Period: May 1st, 2026 through June 30, 2027$_________cost per Month with Daily servicing per Standard single portable toilet unit$_________cost per Month with Daily servicing per single ADA portable toilet unit$_________cost per Month with Mon-Wed-Fri servicing per Standard single portable toilet unit$_________cost per Month with Mon-Wed-Fri servicing per single ADA portable toilet unit$_________cost per Day with Daily servicing per Standard single portable toilet unit$_________cost per Day with Daily servicing per single ADA portable toilet unitContract Term: The contract if awarded shall be initiated for fourteen (14) months. The contract may beextended for up to four (4) one (1) year periods, with first extension beginning July 1, 2027, at the agreed uponunit prices which such extensions are at the sole option of the City and shall be for the same price as the firstyear.The undersigned declares that he or his representatives have visited the site of the work; have examined the drawings and/or specifications for thework; have verified all measurements and are responsible for the correctness of same; have conferred with the Project Managers and have been fullyinformed of existing conditions and limitations under which the work must be performed.The undersigned further declares that his proposal covers all the work contemplated by the drawings and/or specifications and agrees that hisproposal becomes part of the Order for the Work, if and when such order is issued.The undersigned further agrees to start the work within 10 calendar days from receipt of Order.NON-COLLUSIVE BIDDING CERTIFICATION (a) By submission of this bid, each bidder and each person signing on behalf of any biddercertifies, and in case of a joint bid each party thereto certifies as to its own organization, under penalty of perjury, that to the best of knowledge andbelief: (1) The prices in the bid have been arrived at independently without collusion, consultation, communication, or agreement, for the purpose ofrestricting competition: as to any matter relating to such prices with any other bidder or with any competitor; (2) Unless otherwise required by law,the prices which have been quoted in this bid have not been knowingly disclosed by the bidder and will not knowingly be disclosed by the bidderprior to opening, directly or indirectly, to any other bidder or to any competitor; and (3) No attempt has been made or will be made by the bidder toinduce any other person, partnership or corporation to submit or not to submit a bid for the purpose of restricting competition.INDEMNITY: The Contractor shall and hereby does, to the fullest extent permitted by law, defend, indemnify and hold harmless the City,its officers, agents, servants and/or employees from and against all claims, suits, actions, damages, losses and costs of every name anddescription to which the City may be subjected or put by reason of injury to the person or property of another, or the property of the City,resulting from, or relating to or in connection with contractor’s activities in the performance of or failure to perform this Contract. Thisprovision shall also include, but not be limited to, all losses, costs and damages which the City may suffer by reason of injury to the person orproperty of another, or to the property of the City resulting from but not limited to the negligence, or carelessness, active or passive, of theContractor, or the joint negligence, active or passive, of the Contractor and/or third parties under the direction or control of the Contractor,its of their employees, agents or sub-contractors, in the performance under this Contract, or in the delivery of materials and supplies. Thewhole, or so such money to become due under this Contract as shall be considered necessary by the City, may be retained by it until all suitsor claims for damages shall have been settled or otherwise disposed of and evidence to that effect furnished to the satisfaction of the City.Contractor shall, to the fullest extent by law, indemnify, defend and hold harmless the City of Buffalo, its officers, agents, servants and/oremployees for all claims or losses for personal injury involving employees of the Contractor or persons working for the Contractor or anysubcontractor or supplier or any third parties injured during the performance of this Contract.REQUIRED INSURANCE:InsuranceCasualty InsuranceThe Contractor shall procure and maintain at his own expense without cost to the owner, casualty insurance, as distinguished from fireinsurance, for liability for damages arising from operations under the Contract until final acceptance by the owner, and resulting in bodilyinjury, sickness and disease, including, but not limited to, death, and for damage to or loss of use of property.The Contractor shall procure insurance coverage as hereinafter indicated:Insurance documentation listed below must be provided by the Service Provider to the City no later than two weeks after contract isawarded.A. Workers Compensation & NYS Disability- The Contractor shall secure Workers compensation & NYS Disability insurance for thebenefit of and keep insured during the life of the contract resulting from this solicitation, the employees engaged in the workhereunder, in compliance with the laws of the State of New York. Evidence of both Workers Compensation & NYS Disabilitycoverage must be shown on the New York Forms.B. Liability and Property Damage- The Contractor shall, to the fullest extent permitted by law, indemnify, defend and hold harmlessthe City of Buffalo and its Department of Public Works (both to be named as additional insured), their officers, agents andemployees from and against all claims, suits, actions, damages, losses and costs of every name and description to which the Citymay be subjected or put by reason of injury to the person or property of another, or to the property of the City, resulting from orrelating to or in connection with Contractor’s activities in the performance of or failure to perform the contract resulting from thissolicitation. This provision shall also include, but not be limited to, all losses, costs and damages which the City may suffer byreason of injury to the person or property of another, or the property of the City, resulting from but not limited to the negligenceor carelessness, active or passive, of the Contractor or the joint negligence, active or passive, of the Contractor and or third partiesunder the direction or control of the Contractor its or their employees, agents or subcontractors, in the performance of any workunder the contract resulting from this solicitation. The whole, or so much money to become due under the contract resulting fromthis solicitation as shall be considered necessary by the City, may be retained by City until all suits or claims for damages shall havebeen settled or otherwise disposed of and evidence to that effect furnished to the satisfaction of the City. In furtherance of theContractor’s indemnification of the City of Buffalo, Contractor shall furnish a certificate or certificates of insurance from areliable insurance company admitted in the State of New York showing that Contractor carries public/general liability andproperty damage insurance in the amount of at least $2,000,000.00. The insurance company or companies providing insurancecoverage as called for under the contract resulting from this solicitation must be acceptable to the City in the City’s sole discretion.City of Buffalo and the City of Buffalo Department of Public Works, Parks and Streets shall be certificate holders and shall benamed as additional insured under the general/public liability insurance coverage. Contractor shall also provide satisfactoryevidence of automobile insurance coverage to be issued by an insurance company admitted in the State of New York for any/allautos in the amount of at least $1,000,000.00 and the City of Buffalo shall be named as additional insuredAll policies of insurance shall be provided by a company or companies admitted in and authorized to do business in New York State.BIDS: The City of Buffalo does not obligate itself to accept the lowest or any other proposal, but reserves the right to reject any or all bids.NOTICE: Notice shall be given by the Contractor to the Project Manager before starting any work.GUARANTY: The Contractor shall leave the work in perfect order on completion thereof and, without expense to the City, keep and maintain thesame in good condition and repair for One (1) Year from date of acceptance of same by the City and shall leave the work in good condition andrepair at the end of said period and neither the final payment or final certificate nor any provisions in the Contract Documents shall relieve theContractor or his surety of the responsibility for negligence or faulty materials or workmanship within the extent and period provided by law andupon written notice form the City he shall remedy any defects due thereto and shall pay all expenses for any damage to other work resultingtherefrom.DRAWINGS AND SPECIFICATIONS: The Contractor shall adhere strictly to the drawings and/or specifications, as interpreted by the ProjectManagers in the performance of the work of this contract. The Contractor may make minor changes in the work, not inconsistent with the work andnot involving extra cost. No changes or any work involving extra cost shall be done except on the written order of the Project Managers.MATERIALS: Unless otherwise specified, all materials used shall be new and of the best quality of their respective kinds and shall be subject to theapproval of the Project Managers.SAMPLES OF MATERIALS: Samples of all materials, if requested, shall be submitted to the City for approval.WORKMANSHIP: Shall be first-class in every respect without exception and shall be equal to the best modern practices.INSPECTION: The Project Managers, or his assistants, shall inspect all work and may stop such work, if, in their opinion, it is not beingsatisfactorily performed. No work shall be closed or covered until it has been approved by the Inspector in charge.DEFECTIVE MATERIALS OR WORKMANSHIP: Should any material or workmanship be found to be defective or contrary to order, suchmaterial or workmanship, no matter in what stage of completion, may be rejected, and shall be corrected by the Contractor at his own expense.PREPARATION: Contractor shall remove all existing materials as required to permit the installation of new work.DEBRIS AND OLD MATERIALS: Contractor shall clean up and remove all debris and rubbish resulting from the work from time to time asrequired or directed. At completion of the work the premises shall be left in a net, unobstructed condition and the buildings broom clean, andeverything in perfect order and repair. Old materials are the property of the Contractor unless otherwise specified.SHOP AND SETTING DRAWINGS: If requested, the contractor shall submit for approval by the City shop and setting drawings.PROTECTION OF WORK AND PROPERTY: The Contractor shall continuously maintain adequate protection of all his work from damage andshall protect the City’s property and all adjacent property from injury arising in connection with this work.RESPONSIBILITY FOR DAMAGES: The Contractor shall be responsible for all damage to life and property due to his operations and he shallindemnify and save harmless the City from all suits, actions, damages and costs of every name and description resulting from the work of thiscontract.SUPERVISION: The Contractor shall give the work adequate personal supervision and shall keep a competent superintendent constantly on the sitewhile the work is progressing. None but competent men shall be employed on the work and if the Project Managers or his representative shall deemany employee incompetent or for any cause unfit for his duty, the Contractor shall remove the employee immediately and he shall not again beemployed on the work.LAWS AND ORDINANCES: In the performance of this work the contractor shall be governed by all the Laws of the state of New York and theOrdinances of the City of Buffalo, now in force, or which may hereafter be adopted, applicable to this work.WAGE RATES: The Contractor shall pay to all employees engaged on this work the prevailing rate of wages as established by the State of NewYork, Bureau of Public Works, State Office Building Campus, Albany, NY 12240 and shall so certify on their Request for Payment.Contractor ___________________________________________Address ________________________________________________________________________________________By ________________________________________________Printed Name______________________________________Title______________________________________________The City of Buffalo joins in and signs this proposal for the purpose ofaccepting the proposal and to accept the Contractor’s indemnity andinsurance coverage.CITY OF BUFFFALOBy:_____________________________________________Stephen M. Buccilli, P.E.Interim CommissionerDepartment of ParksATTACHMENT APortable Toilets For The City of Buffalo ParksBids to be emailed, marked “Portable Toilets For The City of Buffalo Parks”, addressed to TheCommissioner of the Department of Parks & Recreation 505 City Hall, Buffalo New York,14202, will be received until 4:00 PM on April 6, 2026.The Department of Parks and Recreation requires portable toilets for The City of Buffalo Parksin accordance with the following specifications:1. Portable toilets will be for parks located within the City of Buffalo.2. Portable toilets can be rented on either a monthly or daily basis.3. The City of Buffalo, Department of Parks and Recreation will contact vendor and submit inwriting to establish location, date, servicing schedule (either Daily or M/W/F) and durationwhere units are to be placed by vendor.4. Portable toilets are to be standard single units or ADA accessible units as requested byDepartment of Parks and Recreation.5. All Monthly units are to be serviced and emptied either Daily or on Mondays, Wednesday,and Friday as specified by Department of Parks during the rental period and fully stockedwith toilet paper and hand sanitizer.6. All Daily units remaining for longer than one day are to be serviced and emptied Dailyduring the rental period and fully stocked with toilet paper and hand sanitizer.7. Vendor shall be responsible for all loss in the event that any toilet units are vandalized, stolenand/or otherwise damaged. City of Buffalo shall bear no risk of loss and or liabilitywhatsoever for any and or all damage and or loss to any toilet unit arising from any causewhatsoever. In the event of any damage or loss to any toilet unit(s), the vendor shall berequired to replace the unit at the location immediately upon request by the City of Buffalo atno cost whatsoever to the City of Buffalo.8. The City will only pay for the actual number of units requested and delivered during theaward period.9. Attached is an example list of locations, number of requested units and unit type. Thenumber of units and or locations is subject to change as per the request of the Department ofParks and recreation.10. Vendor shall quote a monthly and daily rental charge per unit and said per unit price shallinclude and be based upon the servicing and stocking requirements.
