INTRODUCTIONThe Northern California Power Agency (“NCPA” or “Agency”) is a joint powers agency, apublic entity established under California Government Code sections 6500 et seq. NCPA wasestablished in 1968 by a consortium of locally owned electric utilities to make jointinvestments in energy resources that would ensure an affordable, reliable, and clean supplyof electricity for customers in its member communities.NCPA members include municipalities, a rural electric cooperative, and other publiclyowned entities for which the not-for-profit agency provides such services as the generation,purchase, aggregation, scheduling, and management of electrical energy. NCPA Membersare: the Cities of Alameda, Biggs, Gridley, Healdsburg, Lodi, Lompoc, Palo Alto, Redding,Roseville, Santa Clara, Shasta Lake, and Ukiah, the Plumas-Sierra Rural Electric Cooperative,the Port of Oakland, the San Francisco Bay Area Rapid Transit District, and the TruckeeDonner Public Utility District (individually referred to as “Member” or collectively as“Members” hereafter).Agency and certain NCPA Members participate in the California Air Resources Board’s(CARB) Low Carbon Fuel Standard (LCFS) program as opt-in reporting entities, and generateone or more of the following types of credits: base credits, incremental, non-residential,metered residential, fixed guideway, eOGV, and forklift. While Agency and NCPA Membersprimarily generate electricity credits, some also participate in the LCFS as obligated entitiesand report for other fuel types.Through this RFP, NCPA is seeking qualified entities with subject matter expertise to provideone or more of the following services:I. Independent Verification ServicesII. LCFS Aggregation ServicesIII. Fuel Pathway ServicesIV. Additional Services Related to the LCFS ProgramAny enabling agreement entered into by NCPA pursuant to this RFP would be utilizeddirectly by interested Members or Agency to serve their respective needs. NCPA may enterinto enabling agreements for one or multiple services, as defined below.2. SCOPE OF SERVICESThrough this RFP, NCPA is seeking proposals from qualified firms or individuals to providesupport for Low Carbon Fuel Standard (LCFS) participation, including but not limited toindependent verification services.I. Independent Verification ServicesVendors will provide independent validation of fuel pathway applications, verification ofannual fuel pathway reports, and/or verification of quarterly fuel transaction reports, asLR2604 – LCFS Verification, Aggregation, and Fuel Pathway Services-1-specified in section 95500 of the LCFS regulation, as requested by Agency and/orMembers.• Verification services must be performed by qualified and trained verifiers thatare CARB-accredited.• Consultant must not have a conflict of interest for verifying the reported datadue to current or previous relationships with the Agency or Member requestingservices.• Consultant must meet the requirements of LCFS Regulation section 95501.• Proposals should specify any pricing differences for the number and type ofcredits requiring verification, number of charging stations, and annual vs. multi-year (deferred) verification.II. LCFS AggregationVendors will provide one or more of the following aggregation services:• Registration of FSE• Management of all report submittals• Monetization of credits• Independent verification services• Transfers of proceeds• Consultation on LCFS program participationIII. Fuel Pathway ServicesVendors will provide LCFS Tier 2 Fuel Pathway Consultation, Analysis, and/or ApplicationSubmittal:• Fuel and/or Generating Facility Information and Data Collection• Lifecycle Analysis Modeling• Life Cycle Analysis (LCA) Technical Report• As needed, meetings with the participating Agency/Member to consult on fuelpathways, fuel pathway technical reports, modeling, reporting, and compliance• Changes to the model and/or technical report in response to CARB’s comments,as required• Creation of a final technical LCA report and all supporting documents, forsubmittal to CARBIV. Additional Services Related to the LCFS ProgramRespondents to this solicitation may offer additional services related to the LCFSprogram above and beyond the above-mentioned list, including but not limited to LCFSregulatory consulting, LCFS education, or LCFS credit price forecasting.Respondents may submit proposals for one or more categories of services. Proposals shouldexplicitly define which service(s) are included. Agency reserves the right to select separateand/or multiple consultant(s) for each category of services, or consultant(s) providing morethan one service.LR2604 – LCFS Verification, Aggregation, and Fuel Pathway Services-2-Agency intends to execute enabling agreement(s) with successful Respondent(s). Theprimary purpose of this RFP is to select successful Respondent(s) to provide LCFS reporting,consulting, and verification services to NCPA and its Members on an as-needed basisthrough enabling agreements between Agency and successful Respondent(s).Agency seeks proposals for a term of six years, with an estimated start date in August 2026.Agency reserves the right, in its sole discretion, to consider proposals or execute contractswith successful Respondents for an agreement term that is greater than or less than thatpotential six years, which may or may not be structured to include options to extend theterms of the Agreement.The Consulting Services Agreement is included as Attachment B. Services provided underthe agreement may include services directly to the Agency or, as requested by the Agency,to NCPA Members, Southern California Public Power Authority (SCPPA), or SCPPA Members.Respondents should thoroughly review the agreement in its entirety.3. INSTRUCTIONS TO RESPONDENTAny Respondent who submits a Proposal agrees to do so without legal recourse againstAgency, their Commissions, managers, agents, Consultants or Members for rejection of anyresponse(s), for failure to execute an agreement for any reason, or for any costs relating tothe Proposal including the costs of preparation. Agency shall not be liable to anyRespondent or party at law or in equity for any reason whatsoever for any acts or omissionsarising out of or in connection with this RFP.By submitting its Proposal, each Respondent waives any right to challenge any valuation byAgency of any responses of any Respondent or any determination of Agency to select orreject any response of any Respondent or to take any action contemplated by this RFP,including any right of a Respondent to intervene in any governing body proceeding for thepurpose of protesting the selection or rejection of any Respondent, any other decision ofAgency contemplated by this RFP or any resulting agreement related to a selectedRespondent. Each Respondent, in submitting its response, irrevocably agrees andacknowledges that it is submitting its Proposal subject to and in agreement with the termsof this RFP and agrees that Agency shall be entitled to specific performance of their rightshereunder and injunctive relief.3.1 Public Nature of ProposalAll Proposals submitted in response to this RFP become the exclusive property ofAgency. All Proposals received in response to this RFP become a matter of publicrecord and shall be regarded as public records, except as noted herein.
