Sealed proposals will be received by the CharterTownship of West Bloomfield Clerk’s Department at 4550 Walnut Lake Road, West Bloomfield,Michigan 48323, until March 26, 2026 @ 2:00 p.m. At which time the name of submitting Bidderswill be read. One (1) original and two (2) copies of a proposal must be submitted.A pre-bid meeting will be held Monday, March 9, 2026 @ 10:00 am, West Bloomfield Township,4550 Walnut Lake Road, West Bloomfield MI 48323.Bid packages can be obtained at the Township Clerk’s office during normal working hours, 8:00 am– 4:30 pm, or through the Michigan Intergovernmental Trade Network (MITN),www.bidnetdirect.com//west-bloomfield-township.WEST BLOOMFIELD TOWNSHIP RESERVES THE RIGHT TO ACCEPT OR REJECTANY OR ALL BIDS AND TO WAIVE ANY IRREGULARITIES.GENERAL CONDITIONS1. PROPOSAL SUBMITTALAll proposals must be submitted in a sealed envelope or package, and must include thefollowing information on the exterior of the package:• Bidder’s Business Name and Address• Bid Number and Proposal Name• Send proposals to:Deborah Binder, Township ClerkCharter Township of West Bloomfield4550 Walnut Lake RoadWest Bloomfield, MI 48323DO NOT PUT YOUR PROPOSAL IN THE TOWNSHIP DROP BOX.It is the responsibility of the Bidder to ensure that the proposal arrives on time and at the rightplace. Any proposals received after the above date and time will be disqualified.2. PUBLIC INFORMATION1All submitted proposals and information included therein or attached thereto shall becomepublic record upon delivery to the Township.3. CLARIFICATION OF RFPAny request(s) for clarification of this RFP shall be made in writing. For general submittalquestions contact Catherine Ellerson, Purchasing Manager, cellerson@wbtownship.org or formore detailed questions about the RFP, contact Erik Beauchamp @ 248-451-4853. In theevent it becomes necessary to revise any part of the RFP, an Addendum will be posted on theTownship website and the MITN website.4. RIGHT TO REJECT PROPOSALS AND WAIVE INFORMALITIESThe Township reserves the right to reject any or all proposals, to award the contract, notaward the contract, split the award after review of the proposals, and award more than one (1)contract. The Township reserves the right to reject low proposals or to accept a higherproposal, to negotiate terms and conditions, to waive any irregularities and/or informalities,and to accept or reject any item or combination of items. The Township reserves the right toaward the project or service to the Bidder it deems to best serve the overall interests of theTownship and reserves the right to accept or reject all proposals received in response to theRequest for Proposals.Any acceptance of a proposal shall not be binding on the Township until the Township Boardhas approved the award of contract, and until the Bidder has submitted the signed contractand proof of insurance and satisfied all acceptance conditions. The Township reserves theright to continue to review, evaluate and investigate all proposals and Bidders until there is abinding contract between the parties.5. RESPONSIVE PROPOSALSBidders are expected to examine the RFP requirements and all instructions. Failure to do soshall be at the Bidder’s risk. The proposal shall substantially conform to the terms,conditions, and specifications of this Request for Proposal; otherwise, it may be declarednonresponsive and rejected. Bidder shall provide a straightforward, concise description of thecapabilities to satisfy the requirements of the Request for Proposals. The person signing theproposal must initial all erasures or other changes. If any person contemplating submitting aproposal is in doubt of the true meaning of any part of the specifications or other conditionswith the RFP, then the Bidder is advised to call and have the portion in question clarified.6. CHANGES AND ADDENDA TO PROPOSAL DOCUMENTSEach change or addendum issued in relation to the RFP will be on file in the PurchasingOffice. In addition, all changes and addenda will be posted on the Township website andMITN website. It shall be the Bidder’s responsibility to make inquiry as to the changes oraddenda issued. All such changes or addenda shall become part of the contract, and allbidders shall be bound by such changes or addenda.7. INTERVIEWS/PRESENTATIONSThe Township reserves the right to interview qualifying Bidders as part of the evaluationprocess.28. PROPOSED PRICEThe prices proposed shall be held firm for 120 days or final award of contract, whichevercomes first, except the successful proposal prices shall be held firm for the entire contractperiod. The terms and provisions of this RFP and the Bidder’s response shall becomecontractual obligations if a contract ensues. Failure of the successful Bidder to accept theseobligations may result in cancellation of the award.9. WITHDRAWAL OF PROPOSALProposals may be withdrawn in person by a Bidder or authorized representative providedtheir identity is known and a receipt is signed for the proposal, but only if the withdrawal ismade prior to the stated proposal deadline. No proposal may be withdrawn for at least 90days after opening except the successful Bidder whose prices shall remain firm for the entirecontract period.10. EXECUTION OF CONTRACTEach proposal is received with the understanding that an acceptance in writing by theTownship of the offer to furnish any or all of the services and materials described shall beimplemented by a written contract to be approved by the Township between the Bidder, asthe independent contractor, and the Township. This contract shall bind the Bidder to furnishand deliver the services quoted at the prices stated and in accordance with the condition ofsaid accepted proposal. It is agreed that the successful Bidder will not assign, transfer,convey or otherwise dispose of the contract or its right, title, or interest in or to the same, orany part thereof, without previous consent of the Township and any sureties.If a Bidder does not execute a contract acceptable to the Township within ten (10) days afterbeing notified of selection, the Township may give notice to the Bidder of the Township’sintent to select the next most qualified Bidder or call for new proposals, whichever theTownship deems most appropriate.No contract with the Charter Township of West Bloomfield can be assigned, transferred, orsubcontracted without approval in writing from the Township.11. LIABILITY FOR COSTSThe Township is not liable for any costs incurred by Bidders with regard to this RFP.12. TAX EXEMPTIONMunicipalities are exempt from Michigan State Sales and Federal Excise taxes. Do notinclude such taxes in the proposal figure. The Township will furnish the successful Bidderwith tax exemption certificates when requested.13. INDEMNIFICATION AND HOLD HARMLESSThe Bidder shall, at its own expense, protect, defend, indemnify and hold harmless theCharter Township of West Bloomfield, its elected and appointed officials, employees andvolunteers, and others working on behalf of the Charter Township of West Bloomfieldagainst any and all claims, damages (including, but not limited to direct, indirect, incidental,3consequential, special, and punitive damages), costs, lawsuits, and expenses including, butnot limited to all costs from administrative proceedings, court costs, and attorney fees thatmay incur as a result of any acts, omissions or negligence of the selected Bidder, itsemployees or agents, or its subcontractors of sub-subcontractors, or any of their officers,employees or agents which may arise out of the contract.The Bidder’s indemnification responsibilities shall include the sum of damages, costs, andexpenses which are in excess of the sum paid out on behalf of, or reimbursed to the CharterTownship of West Bloomfield or its elected and appointed officials, employees andvolunteers, or by the insurance coverage obtained and/or maintained by the successful Bidderpursuant to the requirements of this RFP and the contract entered into.14. INSURANCE REQUIREMENTSThe successful Bidder shall secure and maintain during the term of the awarded contractinsurance in the types and amounts specified in Attachment A from an insurance agencyauthorized to do business in the State of Michigan whose rating is satisfactory to theTownship’s Risk Management Advisor. The successful Bidder shall be required to provide acertificate of insurance evidencing the required coverage prior to execution of the contractand the policies shall include the additional insured language. See Attachment A. In addition,a copy of Bidder’s current insurance coverage should be attached to the submitted proposal.15. IRAN LINKED BUSINESSIn accordance with Michigan Public Act 517 of 2012, the Iran Economic Sanctions Act,MCL 129.311, et seq., effective date 4/1/13, all vendors must certify that they are not an“Iran Linked Business” to submit a proposal. The Act prohibits individuals who haveeconomic relations with Iran from submitting proposals on RFPs with the State or any otherpublic entity. The Act also includes penalty provisions for submittal of false certifications.See Attachment B.16. MATERIAL SAFETY DATA SHEETSSafety Data Sheets (SDS), previously known as Material Safety Data Sheets (MSDS), mustbe supplied when chemicals are part of any order.17. NON-COLLUSIONBidder declares that the proposal is not made in connection with any other Bidder submittinga proposal for the same commodity or commodities, and that the proposal is bona fide and isin all respects fair and without collusion or fraud.18. FEDERAL, STATE, LOCAL LAWSAll Bidders will comply with all federal, State, and local laws, ordinances, rules, andregulations. Ignorance on the part of the Bidder shall not in any way relieve the Bidder fromresponsibility for compliance with said laws and regulations, or any of the provision of thesedocuments.4CONTRACT1. CONTRACT PERIODThe contract period shall be for a (3) year season from the effective date, with an option ofrenewal for one additional season at the Township’s option.2. CANCELLATION OF CONTRACTThe Township reserves the right to cancel any Contract at any time upon thirty (30) days’prior written notice of its intent to terminate Contract.
