Questions will be answered by an addendum which willbe posted on the website:https://www.newcanaan.info/online_services/bid_notices_(request_for_proposal).php.It is the respondent’s responsibility to check the website for any addendum that mayhave been issued for this RFP.Submission RequirementsInterested parties are invited to submit proposals by Thursday, January 15, 2026 at 10:00a.m. (the “Submission Deadline”), to:Department of Public WorksTown of New Canaan77 Main StreetNew Canaan, CT 06824Proposals should be signed and delivered in a sealed envelope labeled “Proposal – 28Grove Street Parking Lot Lease” and must be delivered to the office of the Director ofPublic Works on or before the Submission Deadline.Each respondent shall submit (1) one original and one (1) printed copyProposals submitted by telephone, e-mail or fax will not be considered.Proposals received after the Submission Deadline will not be considered.A respondent may withdraw its proposal prior to the Submission Deadline, provided thatthe respondent’s request for the withdrawal is delivered to the Director of Public Works’Office prior to the Submission Deadline.A respondent may not withdraw a proposal within ninety (90) days of the SubmissionDeadline.Page | 2The Town shall not be responsible for any expenses incurred by the respondent inpreparing and submitting a proposal.Lease DetailsThe relationship between the Town and the respondent will be structured as a lease.The proposed use of the property will be for employee/staff parking only. The proposedterms of the lease are as follows:Usage:- Employee ParkingMaintenance: Town Responsibilities- Town will prepare parking area in current footprint of old house withprocessed aggregate base materialo (minimal clearing and grubbing required.)- Town will be responsible for lawn and general property maintenance (i.e.,tree trimming)Maintenance: Tenant- Tenant will be responsible for snow removal of parking lot and sidewalks andmaintenance of gravel parking baseFee:- Annual Fee to be based upon parking employee vehicles in the lot.- Annual Fee to be Paid in Full at Time of Lease and on the first date of thelease annually thereafter.Lease Term:- The initial term of the lease will be ten (10) years, with a six (6) monthcancellation notice.Date of Lease:- Lease to begin by February 1, 2026.Form of LeaseThe Town Attorney will prepare a commercial lease agreement for review and signatureby the successful respondent. The Town reserves the right to cancel the award - andaward the lease to another respondent - if the successful respondent does not sign thelease agreement within two weeks of receipt. The lease agreement will be subject toPage | 3approval by the Town’s boards and commissions having jurisdiction, including publiccomment.InsuranceThe tenant will be required, at its own expense and cost, to obtain and keep in forceduring the entire duration of the lease, insurance coverage customary for a movie theateroperator, including commercial general liability (CGL), automobile liability, workers’compensation and excess/umbrella policies. Coverages should be on an occurrencebasis. Coverage limits should be at least: CGL, $1,000,000 per occurrence, $2,000,000aggregate; automobile liability, $1,000,000 per accident; and excess/umbrella,$2,000,000 per occurrence, $2,000,000 aggregate. Coverage limits, deductibles and self-insured retentions will be subject to the Town’s review and approval. The insurancerequirements will be specifically identified in the lease. The Town shall be named as anadditional insured on a primary and non-contributory basis to the tenant’s commercialgeneral liability, automobile liability and excess/umbrella policies. The successfulrespondent will be expected to deliver a certificate of insurance meeting the insurancerequirements prior the effective date of the lease.Procurement ScheduleThe tentative procurement schedule is as follows.- RFP Issued: Tuesday, January 6, 2026- Questions Deadline: Tuesday, January 13 2026, 10:00 a.m.- Submission Deadline: Thursday, January 15, 2026, 10:00 a.m.- BOS Review of Proposals: January 20, 2026- Town Council Approval: January 21, 2026- Notice of Proposed Award: Week of January 26, 2026Reservation of RightsThe Town reserves the right to reject any or all proposals, to waive any defect orinformality in a proposal or in the RFP process, or to terminate the RFP process at anytime, if deemed to be in the Town’s best interest. In addition, the Town expressly reservesthe following rights.1. Not to award a lease pursuant to this RFP.2. To negotiate the rent proposed by the successful respondent. If negotiations arenot, in the opinion of Town, successfully concluded within a reasonable time, asdetermined by the Town, the Town reserves the right to suspend negotiations andcommence negotiations with another respondent.Page | 43. To reject and not consider any proposal that does not meet the requirements ofthis RFP, including, without limitation, incomplete proposals and/or proposalsoffering alternate or non-requested services and proposals that are deemed non-responsive.4. Prior to award, to revise, change, alter or amend any of the instructions, terms,conditions and/or specifications of this RFP or any exhibits or attachments to thisRFP. Respondents are responsible for any posted addenda to this RFP. Addendathat are issued before the Submission Deadline will be binding upon all prospectiverespondents.5. In the case of rejection of all proposals, the Town reserves the right to advertisefor new proposals or to proceed otherwise.6. To cancel the award of any proposal at any time before the execution of the leaseby the Town.Non-CollusionRespondents must submit a non-collusion affidavit in the form of Exhibit A.Page | 5
