These bank services are for the Alamo Area Council of Governments(AACOG), Alamo Area Development Corporation (AADC), Alamo Area HousingFinance Corporation (AAHFC), and any other affiliated entities, known as the(“AGENCY”) in this document. The initial contract period will be for three (3) yearswith two (2) one (1) year extensions that will be at the discretion of the AGENCYBoard of Directors. The initial contract will begin January 1, 2026 and endDecember 31, 2028.The contract will provide a transition period not to exceedninety (90) days for migration and implementation to a new bank at the end of theterm.1.2 Background Information1.2.1 The Alamo Area Council of Governments (AACOG), (“AGENCY”) is avoluntary association of municipal and county governments and specialdistricts located in Bexar County and the surrounding twelve counties.Defined as a political subdivision of the State of Texas, the AGENCY wasestablished in 1967 under Chapter 391 of the Local Government Code asa voluntary association of local governments and organizations that servesits members through planning, information, and coordination activities. TheAGENCY serves the Alamo Area/State Planning Region 18, which covers13 counties and 12,582 square miles. Comprising the area planning regionare Atascosa, Bandera, Bexar, Comal, Frio, Gillespie, Guadalupe, Karnes,Kendall, Kerr, Medina, McMullen, and Wilson counties.1.2.2 Alamo Area Development Corporation (AADC), (“AGENCY”) is a nonprofit501(C) 3 component unit representing Bexar County and the surroundingtwelve counties.1.2.3 Alamo Area Housing Finance Corporation (AAHFC), is a public nonprofitcorporation, duly organized and incorporated under and pursuant to theTexas Housing Finance Corporations Act as amended, Chapter 394, TexasLocal Government Code, that provides decent, safe and sanitary housingfor residents at prices they can afford.1.2.4 AACOG purchased the AACOG Complex in April 2021 and signed a five-year promissory note that expires in May 2026. The AACOG Complex is132,832 square feet and consists of two buildings located at 2700 NE Loop410. The AACOG Plaza was purchased outright, and the AACOG Towerwas financed.1.2.4.1 The AACOG Tower is a six-story office building, 105,148 s.f.1.2.4.2 The AACOG Plaza is a one-story office building, 27,684 s.f.RFP-25-238-ACT-BANKSERVICEPage 4 of 581.3 Authority1.3.1 Texas Government Code, Title 3, Subtitle Z, Chapter 3911.3.2 Texas Government Code, Chapter 21611.3.3 Texas Government Code, Chapter 2254, Subchapter B1.3.4 Texas Government Code, Chapter 3941.4 Scope of Work1.4.1 The AGENCY is requesting proposals from bank institutions to provide bankdepository services as well as refinancing rates for the AACOG complex.The initial contract period will be for three (3) years with two (2) one (1) yearextensions that will be at the discretion of the AGENCY Board of Directors.The initial contract will begin January 1, 2026 and end December 31, 2028.The contract will provide a transition period not to exceed ninety (90) daysfor migration and implementation to a new bank at the end of the term.1.4.2 The AGENCY is looking for a 25 year amortization period, with a 5-7 loanterm based on a 25 year amortization, as a fixed rate, with options toincrease/decrease amortization period. The type of borrowing would be aPermanent (1st Lien) loan.1.4.3 The objective is to identify the banking institution that can offer the mostcomprehensive services at the most competitive rates. The AGENCY is alsolooking to refinance our mortgage loan in 2026. Proposal response will besubmitted by two (2) methods:1.4.3.1 Method 1 – Provide monthly fee for all services and maximuminterest rate on available balances. Provide the interest rate forrefinancing the AACOG complex, as well as terms of the loan(attachment G). Provide the current rates that your bank is payingon certificates of deposit for 180, & 360 day terms.1.4.3.2 Method 2 – Provide information per the RFP bid response form1.4.4 Bid Methods 1 and 2 will be based on the following AGENCY historicaltransaction history.
