The Systemalso includes the University of Maine School of Law and the University of MaineGraduate and Professional Center.1.1.3PurposeThe University of Maine System is seeking to qualify vendors who can provideBiological Science products including but not limited to reagents, consumables forPCR, sample preparation, and other genomic sequencing processes as defined inthis document. This document provides instructions for submitting responses, theprocedure and criteria by which the Respondent(s) will be selected, and thecontractual terms which will govern the relationship between the University and theawarded Respondent(s).Respondents should review 1.1.4 Specifications / Scope of Work of thisdocument to see the full Scope of Services/Products required.The University is committed to providing increased access and opportunity todiverse businesses include and not limited to: Lesbian, Gay, Bisexual andUniversity of Maine System RFQRev. 08/16/2023Page 3 of 15Request for Qualifications – Biological Science ProductsDated: May 5, 2026Transgender Business Enterprise (LGBTQ+BE); Minority Business Enterprise(MBE); Service-Disabled Veteran Business Enterprise (SDVBE); Small BusinessEnterprise (SBE); veteran-owned; service-disabled veteran-owned; HUBZone;small disadvantaged business; women-owned; minority-owned; Veteran BusinessEnterprise (VBE); and Women’s Business Enterprise (WBE).Though this document is primarily for the University of Maine, all campuses in theUniversity of Maine System must be afforded the use of this solution, with all thesame terms and conditions applicable to the various University locations.1.1.4 Specifications / Scope of WorkQualified vendors must demonstrate that they have experience providingBiological Science products which can support the university’s research programs.1.2 General Information1.2.1 Contract Administration and Conditions1.2.1.1 The winning Respondent will be required to execute a MasterAgreement and subsequent Lease Agreement(s) with the Universityof Maine System.The Master Agreement entered into by the parties shall consist of theUniversity of Maine System Master Agreement, a Lease Agreement,the RFQ, the selected Respondent’s submission, including allappendices or attachments and clarifications, the specificationsincluding all modifications thereof, and a Purchase Order or Letter ofAgreement requiring signatures of the University and the Contractor,all of which shall be referred to collectively as the AgreementDocuments.In the event of a conflict of terms the following precedence will apply:1. University of Maine System Master Agreement2. Lease Agreement3. Agreement Riders as required4. Contract Amendments (as required)5. The University’s RFQ6. Respondent’s Submission7. Purchase Order or Letter of Agreement1.2.1.2Negotiation of Agreement terms and conditions is permitted exceptthat the University, due to its public nature, will not:a. Provide any defense, hold harmless or indemnity;b. Waive any statutory or constitutional immunity;c. Apply the law of a state other than Maine;d. Procure types or amounts of insurance beyond those UMSalready maintains or waive any rights of subrogation.e. Add any entity as an additional insured to UMS policies ofinsurance;f. Pay attorneys' fees, costs, expenses or liquidated damages;University of Maine System RFQRev. 08/16/2023Page 4 of 15Request for Qualifications – Biological Science ProductsDated: May 5, 2026g. Promise confidentiality in a manner contrary to Maine'sFreedom of Access Act;h. Permit an entity to change unilaterally any term or conditiononce the contract is signed;i. Accept any references to terms and conditions, privacypolicies or any other websites, documents or conditionsreferenced outside of the contract; orj. Agree to automatic renewals for term(s) greater than month-to-month.1.2.1.3By submitting a response to a Request for Qualifications, bid or otheroffer to do business with the University your entity understands andagrees that:a. The above Agreement provisions (Section 1.2.1.2) will not bemodified and are thereby incorporated into any agreemententered into between University and your entity; that suchterms and condition shall control in the event of any conflictwith such agreement; and that your entity will not propose ordemand any contrary terms;b. The above Agreement provisions (Section 1.2.1.2) willgovern the interpretation of such agreement notwithstandingthe expression of any other term and/or condition to thecontrary;c. Your entity agrees that the resulting Agreement will be theentire agreement between the University (includingUniversity’s employees and other End Users) andRespondent and in the event that the Respondent requiresterms of use agreements or other agreements, policies orunderstanding, whether on an order form, invoice, website,electronic, click-through, verbal or in writing, with University’semployees or other End Users, such agreements shall be null,void and without effect, and the terms of the Agreement shallapply.d. Your entity will identify at the time of submission which, if any,portion or your submitted materials are entitled to ''tradesecret" exemption from disclosure under Maine's Freedom ofAccess Act; that failure to so identify will authorize UMS toconclude that no portions are so exempt; and that your entitywill defend, indemnify and hold harmless UMS in any and alllegal actions that seek to compel UMS to disclose underMaine's Freedom of Access Act some or all of your submittedmaterials and/or contract, if any, executed between UMS andyour entity.1.2.2Communication with the UniversityIt is the responsibility of the Respondent to inquire about any requirement of thisdocument that is not understood. Responses to inquiries, if they change or clarifythe document in a substantial manner, will be forwarded by addenda to all partiesthat have received a copy of the document.
