INTRODUCTION. The Town of Zionsville, Boone County, Indiana (the “Town”), issuesthis Request for Proposals and Qualifications (“RFPQ”) to prospective entities interested indesigning, building, operating, and transferring the Department of Public Works Campus (the“Project”) pursuant to a public-private agreement between the Town and the winning offeror inaccordance with Ind. Code §5-23 et seq. (the “Act”).II. BACKGROUND. The Town previously acquired certain property located at (i) 4140 S875 E. Zionsville, IN 46077, Parcel Identification No.: 06-08-28-000-010.001-029, and (ii) 4200S 875 E. Zionsville, IN 46077, Parcel Identification No.: 06-08-28-000-011.002-006, (iii) 4102 S875 E. Zionsville, IN 46077, Parcel Identification No.: 06-08-28-000-011.000-029, and (iv) 4140S 875 E. Zionsville, IN 46077, Parcel Identification No.: 06-08-28-000-011.001-029, all as furtherdepicted on Exhibit A, attached hereto (collectively, the “Project Site”). The Project includes sitedevelopment, including utilities, and the construction of a new Public Works (“DPW”) operationsfacility. This facility will house approximately 18 employees, as well as the equipment, vehicles,and supplies primarily of the Streets and Stormwater Divisions of the DPW, all of which arecurrently housed at the Municipal Services Building on Parkway Drive. The Project will includethe following components: (i) Office Building (+/- 5300 sf); (ii) Heated vehicle garage (+/- 30,000sf); (iii) Cold storage barn (+/- 10,000 sf); (iv) Salt storage barn (+/-6000 sf); (v) Outdoor bulkmaterial storage; and (vi) Outdoor equipment storage. A conceptual layout is included on ExhibitB, attached hereto.III. STATEMENT OF INTENT. The Town now seeks private involvement to design,develop and construct the Project, because (1) the Town lacks expertise in executing, streamlining,and overseeing projects like the Project; (2) private sector expertise in the design, development,and construction of the Project will allow the Project to be completed quicker and more efficiently;(3) private sector expertise will help shift risk away from the Town and allow subcontractors to bedirectly accountable to the winning offeror; and (4) private sector expertise should preventunknown costs from being added to the Project.IV. PROJECT OVERVIEW.A. The Project. The Town is seeking qualified offerors interested in designing,building, operating, and transferring the Project pursuant to a public-private agreement betweenthe Town and the winning offeror in accordance with Ind. Code §5-23 et seq. (the “Act”). TheProject consists of designing, developing, and constructing the Project on the Project Site.B. Design Engineer. The Town has separately contracted with CSO Architects whowill be the Town’s design engineer for the Project (the “Project Engineer”). The winning offerorwill be required to work with the Town and Project Engineer to help design the Project within theBudget (as defined in Section IV(D) below), including, but not limited to regularly meeting andcollaborating with the Town and Project Engineer to evaluate alternative materials and design priorto construction (the “Scoping Process”). For the avoidance of doubt, the winning offeror will berequired to work with the Town and Project Engineer throughout the Scoping Process, rather thanTown of Zionsville3RFPQ-DPW Campus Projectmerely constructing the Project based on design documents provided by Project Engineer and theTown.C. Winning Offeror Responsibilities. With respect to the Project, the winningofferor shall perform the following services necessary to complete the BOT Agreement: Design. Provide input and expertise, including, without limitation, estimated pricinginformation, while collaborating with Project Engineer and the Town during the ScopingProcess. Project Development. Complete and/or review due diligence for the Project and completeany necessary borings, tests, inspections, examinations, studies, and investigationsnecessary to complete and deliver the Project. Permits. Obtain all required permits and approvals necessary for completion of theProject, including, without limitation, necessary approvals of the State of Indiana, Town,and any other governing body necessary to complete the Project. Offeror shall additionallycause any necessary utility relocations to be performed. Professional Services. Provide all professional services necessary to complete the Project,other than the design engineering services provided by Project Engineer. Construction. Construction of the Project including, without limitation, overseeing day-to-day construction and sub-contractors and working with the Project Engineer and Town,together with their representatives, vendors, utilities, security personnel and other entitiesnecessary for and related to the Project.D. Maximum Budget and Town Payment. The Town’s maximum budget forcompleting the Project is Thirteen Million Seven Hundred Fifty Thousand Dollars ($13,750,000)(“Maximum Amount”), which Maximum Amount includes softs costs and Project financing costs.V. PROCUREMENT PROCESS. The Act authorizes the Town to solicit requests forproposals, conduct discussions with offerors for the purpose of clarification to assure fullunderstanding of and responsiveness to the solicitation requirements, to negotiate the best and finaloffers with responsible offerors who submit proposals that are determined to be reasonablysusceptible of being selected for a public-private agreement, and to enter into a BOT Agreementwith the offeror to construct the Project. The Town anticipates the following sequential steps aspart of the procurement process:A. Review RFPQ Responses. The Town will (1) review responses to this RFPQbased on the factors and weight provided to each factor included in Section X; and (2) negotiatewith offeror for the best and final offer, as more particularly described herein. The Town mayrefuse to disclose the contents of proposals during discussions with eligible offerors. Additionally,Town of Zionsville4RFPQ-DPW Campus Projectbased on its review of the responses to the RFPQ, the Town will determine whether to interviewofferors for the Project.B. Scoping Agreement. The Town will enter into a scoping agreement with anOfferor it believes to be reasonably susceptible of being selected for a BOT Agreement. In general,the scoping agreement shall concern delivery of all professional services, including, withoutlimitation, property inspections, preparing schematic design documents and drawings, and otherprofessional services needed to complete the Project’s design and budget (collectively, the“Preliminary Services”). The Scoping Agreement shall state the cost for completing all suchPreliminary Services (the “Scoping Costs”). Any cost or expense for completing the PreliminaryServices in excess of the Scoping Costs shall be and remain the sole and exclusive liability andobligation of the Offeror. The Town reserves the right to enter into multiple Scoping Agreementswith different Offerors. If the Offeror is not selected for a BOT Agreement, the Scoping Costsshall be paid to Offeror for the performance of any Preliminary Services completed. If the Offeroris selected for a BOT Agreement, the Scoping Costs shall be rolled into the Project’s financing.C. BOT Agreement Recommendation. If, in its sole discretion, the Town decides torecommend an offeror to its Town Council for completing the Project, the Town Council willentertain the recommendation at a duly noticed public hearing. If a recommendation to award thepublic-private agreement is made to the Town Council, the Town Council shall satisfy the statutoryprocesses included in the Act prior to awarding a BOT Agreement. Alternatively, and in its solediscretion, the Town may terminate the RFPQ process.At all stages, the Town reserves the right to discuss this RFPQ with Offerors to clarify theOfferors’ understanding of and responsiveness to the solicitation requirements and to negotiatewith Offerors. Further, at all times, the Town reserves the right, in its sole discretion, to terminatethe process without making a recommendation to the Board or awarding a BOT Agreement.Additionally, among other commercially acceptable and negotiated provisions, any BOTAgreement will include the following contractual provisions: Payment bond in an amount not less than one hundred percent (100%) of the cost todevelop and construct the Project Performance bond in an amount not less than fifty percent (50%) of the cost to developand construct the Project Non-discrimination provision Drug-free workplace provision Compliance with E-Verify requirements. Indemnification by the winning offeror. The Town will not indemnify the winningofferor Application of Indiana law with venue in Boone County Maintenance of the policies of insurance included at Exhibit C Termination for gross misconductTown of Zionsville5RFPQ-DPW Campus Project
