INVITATION TO PROPOSEThe Town of Middlefield Parks & Recreation Department (the “Town”) is soliciting sealedproposals from qualified contractors to provide grounds maintenance services, includingmowing, trimming, edging, athletic field maintenance, field lining, and limited vegetationmanagement, as described in this RFP.Proposers are responsible for reviewing all requirements in this RFP and submitting acomplete response by the due date and time.Minimum performance standards (required):1. Follow-up service calls required due to unsatisfactory performance shall be at nocharge.2. Contractor shall respond to Town-reported issues in a timely manner (proposershall state response time; Town preference is within one (1) business day for urgentissues impacting safety or scheduled events).3. Contractor shall report any property damage, personal property damage, or injuryresulting from the contractor’s operations to the Town within one (1) business day ofoccurrence.2. The Town reserves the right to reject any or all proposalsand to waive informalities or minor irregularities when it is in the Town’s best interest.3. GENERAL INSTRUCTIONS1. Proposals must be signed by an authorized representative of the proposer.2. Proposals must clearly identify any exceptions to the requirements of this RFP.3. All questions must be submitted in writing to the Issuing Officer by the questions-due deadline. Verbal questions and verbal responses are not binding.4. The Town may request additional information, references, or an interview prior toaward.5. The Town may terminate the contract for lack of performance or substandardperformance as determined by the Town.6. Documentation: Contractor shall maintain an accurate record of work performedand provide reports upon request.PROPOSAL REQUIREMENTS & SUBMISSION CHECKLISTProposal shall include:• Signed cover letter• Company qualifications and relevant experience (including athletic field andmunicipal/park work)• Staffing plan and supervision• Work plan and schedule• Completed pricing table• Equipment list• References (minimum [insert number])• Any exceptions to the RFP requirements23A. GENERAL CONDITIONS AND INSTRUCTIONS TO PROPOSERS (LEGAL /PROCUREMENT TERMS)The conditions below apply to this solicitation and will become part of the contractresulting from an award, unless otherwise specified.3A.1 Proposal forms and submission1. Proposals shall be submitted in the manner stated in Section 2 and received by theTown by the due date and time.2. The proposer shall maintain one (1) copy of the proposal for their files.3. The outer envelope or subject line (as applicable) shall clearly identify the RFP titleand proposal due date/time.3A.2 Addenda1. It is the proposer’s responsibility to check for addenda or clarifications issued by theTown.2. Any addenda issued shall become part of this solicitation.3A.3 Late proposalsProposals received after the date and time specified will not be considered, except as theTown may allow at its sole discretion where permitted by law.3A.4 Withdrawal of proposalsA proposal may be withdrawn by written request submitted to and received by the Townprior to the time set for receipt/opening.3A.5 Delivery and mailing riskThe proposer is responsible for ensuring timely delivery. The Town assumes noresponsibility for postal delays, delivery service delays, email delivery issues, or othertransmission failures.3A.6 Opening of proposalsThe Town may open proposals publicly or privately, and may tabulate pricing andresponsiveness after opening.3A.7 Proposal completion and responsiveness3All information required by this RFP must be provided to constitute a proper proposal.Failure to provide required information may result in disqualification.3A.8 Town rights; rejection of proposalsThe Town reserves the right to:1. Reject any or all proposals, in whole or in part.2. Waive minor informalities and irregularities.3. Request clarifications or additional information.4. Accept a proposal other than the lowest priced proposal if it is determined to be inthe Town’s best interest, to the extent permitted by law.5. Award by section, by location, or by service element, or to make no award.3A.9 Errors in proposalsObvious clerical errors (such as arithmetic errors or misplaced decimals) may be correctedby the Town following proposer verification. If a conflict exists between a unit price and anextension, the unit price shall prevail.3A.10 TaxesThe Town is exempt from Connecticut sales and use taxes and federal excise taxes.Proposers shall not include such taxes in pricing.3A.11 Bid/Proposal security; bonds (if required)If the Town elects to require proposal security or bonds for this contract, the requirementswill be stated in an addendum or final contract documents, including any bid bond,performance bond, and/or labor and materials bond.3A.12 DebarmentThe proposer certifies that neither the proposer nor its principals are currently debarred orsuspended from bidding on public contracts by any governmental entity, and that theproposer is not acting as an agent for any debarred or suspended entity.3A.13 Insurance requirements (minimums; subject to Town confirmation)Prior to commencement of work, the successful contractor shall furnish certificates ofinsurance evidencing coverage at least as follows (or such other levels as the Townrequires):41. Commercial General Liability: $1,000,000 combined single limit per occurrence;$2,000,000 aggregate.2. Automobile Liability: $1,000,000 combined single limit (owned, hired, and non-owned).3. Workers’ Compensation: statutory Connecticut requirements.4. Employer’s Liability: $500,000 per accident; $500,000 disease each employee;$1,000,000 disease policy limit.5. Umbrella/Excess Liability: $1,000,000 each occurrence; $1,000,000 aggregate.Additional provisions:• The Town of Middlefield, its officers, agents, officials, employees, boards, andcommissions shall be named as additional insureds on general and automobileliability policies, except Workers’ Compensation.• Contractor’s insurance shall be primary and non-contributory with any Towninsurance.• Policies shall provide for 60 days written notice prior to cancellation, non-renewal,or substantial change.• If any policy is written on a claims-made basis, it shall be maintained and renewedfor at least two (2) years after completion of services or replaced with equivalent tailcoverage.• Insurers shall have an A.M. Best rating of at least “A” or otherwise be acceptable tothe Town.3A.14 Indemnification / hold harmlessTo the extent permitted by law, the contractor shall indemnify and hold harmless the Townof Middlefield and its officers, agents, and employees from and against claims, damages,losses, and expenses (including reasonable attorney’s fees) arising out of or resulting fromthe contractor’s performance of the work, except to the extent caused by the Town’snegligence.3A.15 TerminationThe Town may terminate the contract:1. For cause upon contractor non-performance, unsafe performance, or violation ofcontract terms.5
