The Neighborhood & Business Services Department which is composed of Community Development, Code Enforcement, and Business Development Division is requesting proposals from legal firms to conduct title searches and recording of Deeds of Trust for each division including but not limited to Housing Rehabilitation activities, as related to the CDBG and HOME Investment Partnership Funding Programs and Code Enforcement funds in accordance with North Carolina Real Estate law. Firms owned by women and minorities are encouraged to submit proposal. READ, REVIEW AND COMPLY: It shall be the Vendor’s responsibility to read this entire document,review all enclosures and attachments, and any addenda thereto, and comply with all requirementsspecified herein, regardless of whether it appears in these Instructions to Vendors or elsewhere in this RFPdocument.2. LATE PROPOSALS: Late proposals, regardless of cause, will not be opened or considered, and willautomatically be disqualified from further consideration. It shall be the Vendor’s sole responsibility toensure delivery at the designated office by the designated time.3. ACCEPTANCE AND REJECTION: The City reserves the right to reject any and all proposals, to waiveany informality in proposals and, unless otherwise specified by the Vendor, to accept any item in theproposal.4. WITHDRAWAL OF PROPOSAL: No proposal may be changed or withdrawn after the time of theproposal due date. Any modifications or withdrawals requested before this time shall be acceptable onlywhen such a request is made in writing to the Financial Services Manager.5. CONFLICT OF INTEREST: Each proposer shall affirm that no official or employee of the City ofGreenville is directly or indirectly interested in this proposal for any reason of personal gain.6. LOCAL PREFERENCE: The City of Greenville has adopted a Local Preference Policy, Resolution No.056-13, and a Professional and other Services Policy, Resolution No. 057-13 that may pertain to thisproject. TAXES: Sales taxes may be listed on the proposal, but as a separate item. No charge will be allowed forFederal Excise and Transportation tax from which the city is exempt.8. CITY RIGHTS AND OPTIONS: The City, at its sole discretion, reserves the following rights:• To supplement, amend, substitute or otherwise modify this RFP at any time.• To cancel this RFP with or without the substitution of another RFP.• To take any action affecting this RFP, this RFP process, or the Services subject to this RFP thatwould be in the best interests of the city.• To issue additional requests for information or clarification from Offerors or to allow correctionsof errors or omissions.• To require one or more Service Providers to supplement, clarify or provide additional informationfor the city to evaluate the Responses submitted.• To negotiate a contract with a Service Provider based on the information provided in response tothis RFP.Page 3 of 23Real Estate Legal Services RFP# 25-26-289. PUBLIC RECORDS: Any material submitted in response to this solicitation will become a “publicrecord.” Proposers must claim any applicable exemptions to disclosure provided by law in their responseto this RFP. Proposers must identify materials to be protected and must state the reasons why suchexclusion from public disclosure is necessary and legal. The City reserves the right to make all finaldetermination(s) of the applicability of North Carolina General Statutes § 132-1.2, ConfidentialInformation.10. ACCURACY OF SOLICITATION AND RELATED DOCUMENTS: Each Company mustindependently evaluate all information provided by the city. The city makes no representations orwarranties regarding any information presented in this RFP, or otherwise made available during thisprocurement process, and assumes no responsibility for conclusions or interpretations derived from suchinformation. In addition, the City will not be bound by or be responsible for any explanation or conclusionsregarding this RFP or any related documents other than those provided by an addendum issued by theCity. Companies may not rely on any oral statement by the city or its agents, advisors, or consultants. If aCompany identifies potential errors or omissions in this RFP or any other related documents, the Companyshould immediately notify the city of such potential discrepancy in writing. The City may issue a writtenaddendum if the City determines clarification necessary. Each Company requesting an interpretation willbe responsible for delivering such requests to the City's designated representative as directed in RFPSection Three.11. EXPENSE OF SUBMITTAL PREPARATION: The City accepts no liability, and Companies will haveno actionable claims, for reimbursement of any costs or expenses incurred in participating in thissolicitation process. This includes expenses and costs related to Proposal submission, submission ofwritten questions, attendance at pre-proposal meetings or evaluation interviews, contract negotiations, oractivities required for contract execution.12. PROPOSAL BINDING: This proposal is binding for a period of ninety (90) days, and by submitting aproposal, you represent that you have: (1) thoroughly examined and became familiar with the scope ofservices outlined in this RFP; and (2) are capable of performing high quality work to achieve the RealEstate Legal Services needs of The Neighborhood and Business Services Department.13. Minority and/or Women Business Enterprise (M/WBE) Program It is the policy of the City ofGreenville to provide minorities and women equal opportunity for participating in all aspects of theCity’s contracting and procurement programs, including but not limited to, construction projects,supplies and materials purchase, and professional and personal service contracts. In accordance withthis policy, the City has adopted a Minority and Women Business Enterprise (M/WBE) Plan andsubsequent program, outlining verifiable goal.Questions regarding the City’s M/WBE Program should be directed to the M/WBE Office at (252) 329-4862.Page 4 of 23Real Estate Legal Services RFP# 25-26-28SECTION TWOPROCEDURESThis is a request for sealed bids for real estate legal services for the Neighborhood & Business ServicesDepartment in conjunction with the Community Development Block Grant, HOME Investment Partnershipfederal grant programs and funding associated with Code Enforcement activities.I. DescriptionThe City is soliciting sealed bids for Real Estate Legal Services for acquisition, housing rehabilitation, purchaseassistance and Code Enforcement programs of owner occupied and rental properties (as applicable) within theCity limits of Greenville, NC. The Service of a North Carolina licensed attorney-at-law is required. Theseservices will be procured by competitive proposals subject to 24 CFR 85.36(d) (3).II. Scope of ServicesGeneral Specifications: To provide to the City of Greenville Neighborhood & Business Services Departmentlegal counsel related to ownership for housing rehabilitation, purchase assistance, and code enforcementprograms. Specifically:• 30-year title search for ownership requiring enforcement action• 10-year title search for ownership housing rehabilitation• Review and record deed of trust(s) and promissory note(s)• Preparation to finalize real estate transactions(e. all closing documents for acquisition including title insurance and disposal)III. SubcontractingA. Authority to provide legal services will not be transferred or sublet to any other person or firm unlessauthorized by the City.IV. InsuranceThe Contractor shall carry or require that there be carried, Workmen’s Compensation Insurance for all hisor her employees and any employee of subcontractors in accordance with the State’s Workmen’sCompensation laws and shall carry sufficient liability insurance under a contractor’s public liabilityinsurance policy to protect against claims arising out of performance of the contract. The Contractor willfurnish, to the City, evidence of comprehensive public liability insurance protecting the City for not lessthan $300,000 in the event of bodily injury including death and $100,000 in the event of property damagearising out of the work performed by the Contractor’s employees or the employees of any subcontractorin accordance with State and local laws governing Workmen’s Compensation. The awarded contractorshall provide insurance and accept full responsibility for any and all claims, liabilities and injuries to theirperson and/or others as the result of the execution of the signed contract.Page 5 of 23
