In accordance with the MissouriSunshine Law, RSMo 610.021., proposals will be opened on said date and time and only thebidder name and base proposal price will be read aloud. All other documents will be checkedfor responsiveness after Bid opening.The specific locations of the work to be done shall be contained in the special provisionssection of the bid document. The Contractor shall bid on all work.All equipment, materials, and workmanship must be in accordance with the Specificationsand other Contract Documents.Pursuant to 610.021 RSMo Item 12, all documents within a request for proposal will becomeopen record to the public upon a negotiated contract being executed. All documents withina request for bid become open record as soon as the bid is opened. Bidders and proposersshould be aware that all documents within a submittal will become open records.The City reserves the right to reject any or all proposals and to waive informalities ordeficiencies therein to negotiate with any or all bidders or others for more favorable termsor prices and to award a contract to other than the bidder submitting the lowest cost bidproposal with or without negotiation and to determine which is the lowest, best, and mostresponsive to accept, at its option, any alternates and to approve the bond.In no event shall the City be liable to the Contractor for special, indirect, or consequentialdamages. The maximum liability of the City shall be limited to the amount of money to bepaid or received by the City under this Contract.The Contractor shall defend, indemnify, and hold the City and its elected or appointedofficials, officers, employees, and agents harmless from and against all actual claims andalleged claims and all damages, including but not limited to losses, liabilities, costs, expensesand attorney fees arising out of personal injuries, including illness or death, and damage to,or destruction of, property, which are caused by the Contractor or the Contractor’s agents,employees, sub-contractors or by others for whom Contractor is liable arising out of or inany way connected with or resulting from, performance of, or failure to perform, thiscontract, regardless of whether or not caused in part by any act or omission of City, itselected or appointed officials, officers, employees or agents. Contractor affirms that it has2026 Concession Food and Supplieshad the opportunity to recover the costs of the liability insurance required in this Contract inits Contract price.The Contractor shall indemnify and hold the City harmless from all wages or overtimecompensation due its employees in rendering services pursuant to this contract, includingpayment of reasonable attorneys' fees and costs in the defense of any claim made under theFair Labor Standards Act, the Missouri Prevailing Wage Law, or any other federal or state law.The indemnification obligations of Contractor hereunder shall not be limited by anylimitations as to the amount or type of damages, compensation, or benefits payable by orfor the Contractor, under any federal or state law, to any person asserting the claim againstCity, its elected or appointed officials, officers, agents and employees, for whichindemnification is sought.The indemnification obligations herein shall not negate, abridge, or reduce in any way anyadditional indemnification rights of the City, its elected or appointed officials, officers, agentsand employees, which are otherwise available under statute, or in law or equity.All the provisions in this RFP, which becomes part of the Agreement, are subject to the termsof Missouri Sovereign Immunity as set forth in section 537.610.2 and 537.610.5 of theMissouri Revised Statutes. Further, this Contract is not intended to act as a waiver orlimitation of City, or any of its officer’s, agent’s or employee’s rights and/or defensesregarding sovereign or any other immunity or defense under Federal Law, Missouri Law orMunicipal Regulation.2026 Concession Food and SuppliesRequest for ProposalsI.INTRODUCTIONThe City of Blue Springs, Missouri (hereafter referred to as “the City”) is seekingproposals from qualified Contractors to provide food and supply services at BlueSurf Bay Waterpark and Hidden Valley Softball Complex. Both concession standsare owned and operated by the City of Blue Springs.II. SCOPE OF WORKThe vendor selected should offer Concession Food and Supply Services at anaffordable cost and include any additional incentives to the City that mayinclude, but are not limited to:1. Delivery of items in a timely manner agreed upon by both parties.2. Replacement of damaged or incorrect items immediately at Contractor’sexpense.3. Samples and suggestions on new items that would benefit the operation.4. Food serving, cooking or dispensing equipment necessary to dispenseproducts at both locations (Blue Surf Bay and Hidden Valley Softball Complex).5. Rebates payable to the City of Blue Springs for “X” amount of itemspurchased/sold by case.6. Other, that provides value to the submitted proposal.III.
