The Bidder’s proposal should provide all the information which it considers pertinent to its proposaland qualifications for the work to be performed. All proposals must be signed by a duly authorizedindividual. Proposals will be read on the date and hour as stated in the Engineering Departmentconference room, located in the Developmental Services Building, at 1717 W 5th Street, Greenville,North Carolina. Bidders or their authorized agents are invited to be present). Any proposal receivedafter the date and hour specified, will not be accepted or considered.2. Bidders may submit with their proposals, manufacturer’s specifications, illustrations, and descriptiveliterature of the product proposed to be furnished. If the product proposed does not meetspecifications as written the variations must be described in detail and attached to the proposal.3. TAXES: Pitt County is exempt from federal excise tax, including the federal transportation tax. TheCounty pays all sales tax, but this amount must be listed as a separate item.4. The County reserves the right to reject any or all proposals, waive technicalities, and to be the solejudge of suitability of the product for the use by the County for intended purposes. Factors to beconsidered in awarding the proposal will be price, quality, history of satisfactory performance, timerequired to make delivery and the availability of item offered. The contract will be awarded after3evaluation of all proposals has been made. In the interest of suitability to the County’s needs and/oreconomy; equipment or furnishings other than the cheapest in price may be selected. Pitt Countyshall have a period of thirty (30) days after the opening of proposals to make the award and mayaward in total or by line item, whichever is in the best interest of the County.5. The specifications are intended to obtain competitive proposals. Any reference to brand names isstrictly for denoting the type and quality of item desired and is not done to limit or restrict theproposals.6. Any corrections or errors found in the specifications must be submitted in writing and mailed to theattention of the Engineering Department prior to the opening of proposals. Any deviations from thespecifications must be in writing and submitted as part of the proposal. Any addenda to theseproposal documents shall be issued in writing; no oral statements, explanations or commitments bywhosoever made shall be of any effect unless incorporated in the addenda.7. Bid deposit: Pitt County requires a bid deposit of 5% of the total bid for construction contract RFP.8. Pursuant to the provisions of G.S. 143-54 under penalty of perjury, the signer of the proposal certifiesthis proposal has not been arrived at collusively or otherwise in violation of Federal or North CarolinaAntitrust laws. The owner or an officer of the firm must sign all proposals.9. Pursuant to North Carolina General Statute 143-133.3 and related state and federal laws, theundersigned hereby certifies that the Bidder named herein, and the Bidder’s subcontractors, complywith the requirements of Article 2 of Chapter 64 of the NC General Statutes, including therequirement for each employer with more than 25 employees in North Carolina to verify the workauthorization of its employees through the federal E-Verify system.10. PROPOSAL/SUBMITTAL FORMAT: One original should be submitted by mail or hand delivered. Thematerial should be in sequence and related to the RFP. The sections of the submittal should betabbed and clearly identifiable.11. PUBLIC RECORD: All proposals submitted in response to this Request for Proposal shall become theproperty of the County and shall become a matter of public record and subject to disclosure pursuantto Chapter 132 of the North Carolina General Statutes when opened, except for portions whichqualify “trade secret” information under Chapter 66 – Article 24 (Trade Secrets Protection Act) of theNorth Carolina General Statutes. However, proposals which are marked as confidential or tradesecrets in their entirety may be disqualified by the County. To properly designate material as tradesecret under these circumstances, each person or entity providing a proposal must do the following:(a) any trade secrets submitted by a service provider should be submitted in a separate, sealedenvelope marked “Trade Secret—Confidential and Proprietary Information—Do Not DiscloseExcept for the Purpose of Evaluating this Proposal,” and (b) the same trade secret/confidentialitydesignation should be stamped on each page of the trade secret materials contained in the envelope.Bidders must return and include with their proposal a signed version of the Public RecordsAddendum and Indemnification Agreement.412. DISCUSSIONS: The County reserves the right to conduct discussions with Bidders for the purpose ofeliminating minor irregularities, informalities, or apparent clerical mistakes in the proposal in orderto clarify an offer and assure full understanding of, and responsiveness to, solicitation requirements.13. VENDOR APPLICATION: Prior to the award of a Contract, the successful bidder shall submit a W9with the County’s Finance Department.14. CONTRACT: The Contract shall be based upon the Request for Proposal issued by the County and theOffer submitted by the Bidder in response to the Request for Proposal. The offer shall substantiallyconform to the terms, conditions, specifications and other requirements set forth within the text ofthe Request for Proposal. The County reserves the right to clarify any contractual terms with theconcurrence of the Bidder; however, any substantial non-conformity in the offer, as determined bythe County’s Legal Department, shall be deemed non-responsive and the offer rejected. The Contractshall contain the entire agreement between Pitt County and the Bidder relating to this requirementand shall prevail over any and all previous agreements, contracts, proposals, negotiations, purchaseorders, or master agreements in any form.15. PAYMENT: Where permitted, progress payments, when requested, will be made after the Countyreceives a detailed invoice and confirmation that the work has been performed to the specificationsrequired for the requested payment. Payment will be in accordance with contract terms.16. INDEMNIFICATION: Bidder agrees to hold harmless and indemnify County from any and all claims,loss, liability, demands, damages or any other financial demands that may be alleged or realized dueto acts of nonfeasance, malfeasance, misfeasance, or negligence committed by Bidder while in theperformance of the duties or assignment pursuant to this Request for Proposal.17. INDEPENDENT CONTRACTOR: It is understood that in the performance of any services hereinprovided, the Proposer shall be, and is, an independent contractor, and is not an agent or employeeof the County and shall furnish such services in its own manner and method, except as required bythis contract. Further, the Proposer has and shall retain the right to exercise full control over theemployment, direction, compensation, and discharge of all persons employed by the Proposer in theperformance of the services hereunder. The Proposer shall be solely responsible for, and shallindemnify, defend, and save the County harmless, from all matters relating to the payment of itsemployees, including compliance with Social Security, withholding, and all other wages, salaries,benefits, taxes, exactions, and regulations of any nature whatsoever.18. INSPECTION AND ACCEPTANCE: All material or service is subject to final inspection and acceptanceby the County. Material or service failing to conform to the specifications of the Contract shall beheld at the Bidder's risk and may be returned to the Bidder. If returned, all costs are the responsibilityof the Bidder. Noncompliance may be deemed a cause for possible Contract termination.19. LICENSES: Copies of all applicable licenses and permits should be provided with responses.5
