INTRODUCTIONThe City of Union City (hereinafter the “City”) invites written proposals for Non- ExclusiveFranchise Agreement for Tow Services for the City.The City desires to provide quality service to the community and seeks three highlyqualified tow service providers to provide police requested tows (the “Project”). Theagreement reached between the City and the three service providers will havespecific requirements that ensure quality service when requested. The guidelines willalso ensure timely service so that police staff are not unnecessarily delayed in returningto assigned duties.The City invites proposals from qualified tow service providers. The successful towservice provider will execute a contract with the City that has terms identical to theNon-Exclusive Franchise Agreement for Tow Services attached to this Request forProposal (“RFP”) as Exhibit A.Interested service providers are asked to submit letters of interest and a responseto this RFP that provides the City with a description of the service provider’s qualificationsby t h e d a t e s p e c i f i e d i n S e c t i o n 1 . 7 RFP Schedule of Events. The submissionwill be marked “Bid in Response Non-Exclusive Franchise Agreement for Tow Services-- Do Not Open” and delivered to the front desk of the Union City PoliceDepartment, Attn: Lt. Jean Jimenez, at 34009 Alvarado-Niles Rd, Union City, CA94587.The term of the agreement will be five (5) years.This RFP describes the general rules for preparing and submitting proposals and the City’srequirements for the Project.1.1. DefinitionsFor the purpose of this RFP references to “Bidder” in all instances shall mean thespecific person or entity responding to this RFP; references to “Bid” in all instancesshall mean the bidder’s/contractor’s proposal submitted in response to this RFP.1.2.Clarification and Interpretation of RFP1.2.1. The words “must” or “will” or “shall” in this RFP indicate mandatoryrequirements. Taking exception to any mandatory requirement may be groundsfor rejection of the proposal.1.2.2. The words “day” and “days” refer to working days (Monday – Friday),Page 2 of 38exclusive of City holidays.1.3. PurposeThe purpose of this RFP is to provide minimum requirements, solicit bids and gainadequate information from which the City may evaluate Bidder’s products andservices as they compare to other tow service providers and as they pertain tothe needs of the City’s organization as defined in this document.1.4. Communications Regarding the RFPAfter release of this RFP, all Bidder communications concerning this procurement mustbe directed to the RFP Coordinator. Unauthorized contact regarding the RFP with otheremployees of the City may result in disqualification.1.6.1. All communications must be submitted in writing to the RFPCoordinator. Any oral communications shall not be binding to the Cityor considered official. Questions, requests and other types of writtencommunication must cite the subject RFP question number. The RFPCoordinator must receive these written requests by the deadlinespecified in the RFP Calendar of Events1.6.2. All written communication regarding this RFP can be sent by facsimiletransmission to 510-471-5974 or email to Jeanj@unioncity.org.1.6.3. The RFP Coordinator shall respond in writing to all writtencommunications. This response shall constitute clarifications to theRFP. Only written responses to written communications shall bePage 3 of 38considered binding and official by the City. At its sole discretion, theCity reserves the right to determine appropriate and adequateresponses to written questions, comments and requests forclarification.1.7. RFP Calendar of EventsThe following RFP Schedule of Events represents the City’s best estimate of the schedulethat shall be followed. Unless otherwise specified, the time of day for the following eventsshall be between 8:30 a.m. and 5:00 p.m., Pacific Standard Time. The City reserves theright, at its sole discretion, to adjust this schedule as it deems necessary. RULES GOVERNING PROPOSALS2.1. Address and Deliver BidsAll bids shall be delivered to the front desk of the Union City Police Department at 34009Alvarado-Niles Rd, Union City, CA 94587. Bids shall be addressed to Lt. Jean Jimenez andbe clearly marked with “Bid in Response Non-Exclusive Franchise Agreement for TowServices -- Do Not Open”.2.2. Bid DeadlineBids shall be submitted no later than the date specified in Section 1.7 RFP Schedule ofEvents. Bidders shall respond to the written RFP and any exhibits, attachments, oramendments. A Bidder’s failure to submit a bid before the deadline as required shall causethat bid to be disqualified. Bidders assume the risk of the method of dispatch chosen. TheCity assumes no responsibility for delays caused by any delivery service. Postmarking bythe due date shall not substitute for actual bid receipt by the City. Late bids will berejected and will not be opened. Bids may not be delivered orally, by facsimiletransmission, or by other telecommunication or electronic means.2.3. NondiscriminationPage 4 of 38No person shall be excluded from participation in, be denied benefits of, be discriminatedagainst in the admission or access to, or be discriminated against in treatment oremployment in the City's contracted programs or activities on the grounds of disability,age, race, color, religion, sex, sexual orientation, national origin, or any other classificationprotected by federal or California State Constitutional or statutory law; nor shall they beexcluded from participation in, be denied benefits of, or be otherwise subjected todiscrimination in the performance of contracts with the City or in the employmentpractices of the City’s Bidders. Accordingly, all Bidders entering into contracts with theCity shall, upon request, be required to show proof of such nondiscrimination and to postin conspicuous places available to all employees and applicants, notices ofnondiscrimination.2.4. Electronic FormAn electronic form of this RFP may be obtained from the City’s web site:https://www.unioncityca.gov/Bids.aspx.2.5. General Bidding Parameters2.5.1. ContingenciesBefore submitting a bid, Bidders should make a careful examination ofthe scope of work and of the difficulties involved in its proper execution.2.5.2. InsuranceThe selected Bidder will be required to provide proof of adequateworker’s compensation, automobile and general liability insurancecoverage before entering into a contract. Additionally, the City may, atits sole discretion, require the selected Bidder to provide proof of otherforms of insurance. Failure to provide evidence of such insurancecoverage is a material breach and grounds for termination of thecontract negotiations. Any insurance required by the City shall be in formand substance acceptable to the City. The selected Bidder will hold theCity harmless against all claims arising out of the Project.2.5.3. LicensureBefore a contract pursuant to this RFP is signed, the selected Bidder musthold all necessary and applicable business and professional licenses.2.5.4. Conflict of Interest and Bid RestrictionsBy submitting a bid, the Bidder certifies that no amount shall be paiddirectly or indirectly to an employee or official of the City as wages,compensation, or gifts in exchange for acting as an officer, agent,Page 5 of 38
