Conflict Bond Counsel Submission package may be examined or obtained at the Township Purchasing Office, Township of North Bergen, 4233 Kennedy Boulevard, North Bergen, NJ, 07047 (phone 201-392-2040), Monday through Friday during business hours, 9:00 a.m. to 4:00 p.m. or downloadable on the Township’s website www.northbergen.org/notices . Sealed request for qualifications (“RFQ”) responses shall be submitted to Carmen M. Borrell, Purchasing Agent, Township of North Bergen, 4233 Kennedy Boulevard, North Bergen, NJ, 07047, on or before Friday, January 23, 2026, at 11:00 A.M. prevailing time, at which time said responses will be publicly opened and read in the Municipal Chambers. Responses must be enclosed in a sealed envelope. The service provider must indicate the following on the outside of the envelope: (1) the name and address of the service provider; (2) the RFQ# and Title of the Professional Service for which the response is submitted; and (3) “Sealed RFQ Response”. Responses may be delivered by hand, overnight courier or mail. The envelope containing the response must be received by the Township of North Bergen by the date and time set forth above. No late responses will be accepted. Contracts will be awarded based on the most advantageous responses. The Township of North Bergen reserves the right to reject any or all responses. Carmen M. BorrellPurchasing Agent2INVITATION TO SUBMIT QUALIFICATIONSProposals are being solicited through a fair and open process in accordance with N.J.S.A. 19:44A-20.1, et seq.These qualifications are being sought pursuant to the Local Public Contracts Law.Respondents should submit an original and one copy of their proposals.Respondents are expected to examine the RFQ with care and observe all its requirements. All questions about themeaning or intent of this RFQ shall be submitted in writing no less than 5 days prior to the due date of the proposal.All interpretations and clarifications considered necessary by the Township’s representative in response to suchcomments and questions shall be responded to no less than 3 days prior to the due date of the proposal and willbe posted online at www.northbergen.org/notices.The Township assumes no responsibility and liability for costs incurred by the Respondents prior to the issuanceof an agreement. The liability of the Township shall be limited to the terms and conditions of the contract.Respondents will assume responsibility for all costs not stated in their proposals. All unit rates either stated in theproposal or used as a basis for its pricing are required to be all-inclusive. Additional charges, unless incurred foradditional work performed by request of the Township, are not to be billed and will not be paid.Any contract entered into between the Respondent and the Township must be in accordance with and subject tocompliance by both parties with the New Jersey Local Public Contracts Law. The Respondent must agree tocomply with the nondiscrimination provisions and all other laws and regulations applicable to the performanceof services there under. The Respondent shall sign and acknowledge such forms and certificates as may berequired by this section.No corporation or partnership shall be awarded any contract for the performance of any work or the furnishing ofany goods, unless, with receipt of the proposal of said corporation or partnership, there is submitted a statementsetting forth the names and addresses of all stockholders in the corporation or partnership who own ten (10)percent or greater interest therein. The Respondent shall complete and submit the form of statement that isincluded in this RFQ.The Township shall retain all of its rights and interest in any and all documents and property both hard copy anddigital furnished by the Township to the Respondent for the purpose of assisting the Respondent in theperformance of this contract. All such items shall be returned immediately to the Township at the expiration ortermination of the contract or completion of any related services, pursuant thereto, whichever comes first. Noneof the documents and/or property shall, without the written consent of the Township, be disclosed to others orused by the Respondent or permitted by the Respondent to be used by their parties at any time except in theperformance of the resulting contract.Ownership of all data, materials and documentation originated and prepared for the Township pursuant to thiscontract shall belong exclusively to the Township. All data, reports, computerized information, programs andmaterials related to this project shall be delivered to and become the property of the Township upon completionof the project. The Respondent shall not have the right to use, sell, or disclose the total of the interim or final workproducts, or make available to third parties, without the prior written consent of the Township. All informationsupplied to the Township may be required to be supplied in a format compatible with the Township’s computeroperating system, which is Windows based.The right to reject any or all proposals and to waive immaterial formalities is reserved by the Township.3SCOPE OF SERVICES, COMPENSATION & EVALUATION CRITERIAThe Township of North Bergen (“Township”) is soliciting qualifications to provide for the following ProfessionalServices:RFQ 2025-7:Legal RepresentationScope of Services:The Township requires the services of Conflict Bond Counsel to represent the Township on any bond ornote issues, or other transactions or bond counsel services where the Township’s Bond Counsel isconflicted, including the following:(1) Counsel will prepare or review all bond ordinances adopted or to be adopted by thegoverning body.(2) Counsel will assemble a certified record of proceedings to evidence the proper adoption ofeach bond ordinance in accordance with the provisions of the Local Bond Law and other applicable NewJersey statutes.(3) When the Township determines to issue bonds or notes, Counsel will prepare the necessaryresolutions or other operative documents to set up the bond or note sale and will submit them to theTownship’s general counsel for review. Counsel will seek the advice of the Township’s financial advisorand/or auditor in connection with the appropriate maturity schedule for the bonds or notes to be sold andwill review legal issues relating to the structure of the bond or note issue. Counsel will assist the Townshipin seeking from other governmental authorities such approvals, permissions and exemptions as Counseldetermines are necessary or appropriate in connection with the authorization, issuance and delivery ofbonds or notes. Counsel will review those sections of the official statement, private placementmemorandum or other form of offering or disclosure document to be disseminated in connection with thesale of the bonds or notes and will arrange for the printing and the distribution of such offering ordisclosure document. Counsel will prepare and review the notice of sale pertaining to the competitive saleof the bonds or notes and will arrange for the printing of such notice of sale in The Bond Buyer¸ asapplicable, and will answer inquiries made by the investment community concerning the bond or notesale. Counsel will assist the Township in presenting information to bond rating organizations andproviders of credit enhancement relating to legal issues affecting the issuance of bonds or notes. Counselwill render legal advice as necessary concerning the submission of bids for the bonds or notes inaccordance with the notice of sale and the requirements of law. After the bond or note sale, Counsel willprepare the bonds or notes for execution, will prepare and see to the execution of the necessary closingcertificates, including the continuing disclosure undertaking of the Township, and will establish the timeand the place for the delivery of the bonds or notes to the successful bidder. Counsel will coordinate theclosing, at which time the bonds or notes will be delivered, payment will be made for the bonds or notes,and Counsel will issue a final approving legal opinion with respect to the validity and binding effect ofthe bonds or notes, the source of payment and security for the bonds or notes and the excludability ofinterest on the bonds or notes from gross income for federal and New Jersey income tax purposes, ifapplicable.(4) Counsel will provide basic advice in regard to the effect of the federal arbitrage regulationson the issuance of bonds or notes and the investment of the proceeds thereof.(5) Counsel will provide such other services as may be requested from time to time by theTownship including any referendum, validation proceedings or other action relating to the Township orthe authorization and issuance of a financing instrument by the Township, or other transactions involvingthe Township.4Compensation:Compensation for the services will be as follows:(1) For services rendered in connection with each bond sale, a fee of $3,500, plus $1.00 perthousand dollars of bonds issued for the first $15,000,000 of bonds issued and $.75 per thousand dollarsof bonds issued in excess of $15,000,000. If there is more than 1 series of bonds issued, there will be anadditional charge of $1,000 for each such additional series.(2) For services rendered in connection with (i) the preparation or review of each bondordinance and (ii) the compiling and review of a certified record of proceedings in connection therewith,an aggregate fee of $600.(3) For services rendered in connection with each note sale, a fee equal to the greater of (i)$.50 per thousand dollars of notes issued up to $15,000,000 of notes issued and $.40 per $1,000 of notesin excess of $15,000,000 or (ii) $1,000. If more than one series of notes are issued, there will be anadditional charge of $500 for each such additional series.(4) For services rendered in connection with arbitrage compliance and related tax analysis, afee of $500.(5) In the event that a letter of credit, bond insurance, or similar credit enhancement facility isused in connection with either a bond or note issue, an additional fee of $1,000 will be charged.(6) In the event of a refunding bond issue consistent with the provisions of the InternalRevenue Code to provide for the payment of a prior issue of bonds, there will be an additional fee of$5,000 for each refunded issue.(7) Services rendered on an hourly basis, including preparation of an application to and anappearance before the Local Finance Board, attendance at meetings, litigation, continuing disclosureundertakings, preliminary and final official statement or other offering or disclosure document work, andany other services required by the Township, will be billed at the blended hourly rate of $180 per hour forattorneys and $150 per hour for legal assistants. Counsel shall not charge the Township for administrativework and services performed by secretarial staff.(8) Counsel’s fee is usually paid at the closing of the bonds or notes, and Counsel customarilydoes not submit any statement until the closing unless there is a substantial delay in completing thefinancing. In the event that legal services described herein are provided in connection with a bond or notesale and the bond or note sale is not consummated or is completed without the delivery of Counsel’s bondopinion as bond counsel, or the agreement is terminated prior to the sale of bonds or notes, the fee forservices to be charged shall be based on the hourly rates as set forth in paragraph 7 above.(9) Reasonable and customary out of pocket expenses and other charges, including but notlimited to, photocopying, express delivery charges, travel expenses, telecommunications, telecopy, filingfees, computer-assisted research, book binding, messenger service or other costs advanced on behalf ofthe Township, shall be added to the fees referred to in the agreement and shall be itemized in each invoicepresented to the Township. Said expenses and reimbursement therefore shall be consistent with thefollowing: Copy Cost: $0.05/page for 8 ½“ x 11”$0.07/page for 8 ½” x 14”5
