Huron River DriveAnn Arbor, MI 48105-4800PHONE: (734) 677-5231FAX: (734)-677-54141.0 Proposal InvitationWashtenaw Community College (“College” and/or “WCC”) seeks proposals from qualified Providers ofProfessional Auditing Services. The major goal of this project is to provide auditing services for WashtenawCommunity College and its component unit, Washtenaw Community College Foundation. The Collegeexpects to enter into a five-year agreement with the successful supplier from the date of contract executionthrough June 30, 2030. The selected supplier will be able to provide all deliverables outlined in the RFP.Response to this RFP confirms an understanding that this is not a contract or offer of business by theCollege. This request for proposal in no manner obligates the College to the eventual purchase of anyproducts or services described, implied, or which may be proposed, until confirmed by written agreement,and may be terminated by the College without penalty or obligation at any time prior to the signing of anagreement, contract, or purchase order. In submitting a proposal, Firm agrees that all materials associatedwith, attached to, or referenced by the submitted proposal will become the property of the College and maybe incorporated into a subsequent contractual agreement.The College is not liable in any manner or to any extent for any cost or expense incurred by the Firm in thepreparation, submission, presentation, or any other action connected with proposing or otherwiseresponding to this RFP. Such exemption from liability applies whether such costs are incurred directly bythe Firm or indirectly through the Firm’s agents, employees, assigns, or others, whether related or not tothe Firm.The College reserves the right to reject any and all proposals and waive any irregularities. Proposals whichfail to comply fully with any provisions of this document may be considered invalid and may not receiveconsideration. The College also reserves the right to negotiate terms and conditions of a contract with theawarded Firm. The College reserves the right to award a contract based on any combination of thespecifications described herein.The awarded Firm’s proposal response shall be subject to, and governed by the College’s Terms andConditions for the Purchase of Products and Services located athttps://www.wccnet.edu/about/purchasing/terms-and-conditions.php as a condition of award, and arehereby incorporated herein as a substantive part of the solicitation documents. In the event there is anyconflict or inconsistency between the Terms & Conditions referenced in the RFP documents andthose included in a Firm’s Proposal response, Firm’s quote, or listed on the Firm’s website, theTerms & Conditions of the RFP documents shall govern. Proposal submissions must include allexceptions to the College’s terms and conditions of purchase. A purchase order signed by an authorizedagent of the College is required to constitute acceptance of Proposal offer and offer terms and conditionsof service. This RFP and any subsequently offered contracts will be governed by the laws of the State ofMichigan. Any and all applicable valid executive orders, Federal, State or local laws, ordinances or rulesor regulations shall apply to any contract if and when offered and are deemed incorporated herein.As a public institution, the College is subject to the terms and conditions of the Freedom of InformationAct. As required by law, any information submitted in response to this request for proposal could becomepublic information. Firms responding to this proposal are cautioned not to include any proprietaryinformation as part of their proposal unless such proprietary information is carefully identified in writingas such and accepted by the College as proprietary. In addition, the proposal must specify adetailed approach/methodology, Firm and College staffing requirements, and any other assumptions toachieve the goal of this RFP.2.0 Proposal EvaluationProposals may be evaluated in the following areas:• Accordance with the specifications contained herein• Scope of services/project capabilities• Price proposal• Experience, references, & portfolio samplesCriteria for award of a contract (or disqualification) may include, but are not limited to, numericallyweighted totals in some or all of the aforementioned evaluation categories. Award of a contract will bebased on the highest-rated proposal, contingent on a determination of price reasonableness at the solediscretion of the College. The College may enter into negotiations with the highest-ranked vendor tofinalize contract terms and pricing. The College reserves the right not to award to the highest-scoringvendor if pricing is deemed excessive, unbalanced, or outside of market expectations. If negotiations areunsuccessful, the College may choose to enter negotiations with the next highest-ranked vendor.3.0 Planned RFP ScheduleRFP Timeline:RFP Issued: Tuesday, October 28, 2025Submission of Written Questions from Suppliers: Friday, November 7, 2025, at 4 p.m. ESTPosting of College responses: Friday, November 14. 2025, by 4 p.m. ESTRFP Due Date: Tuesday, December 2, 2025, at 2 p.m. ESTTentative Timelines:Supplier Presentations (if required): Mid-December 2025Initial presentation to Board of Trustees: Tuesday, January 27, 2026Awarding of Contract: Friday, February 27, 20264.0 Background of the College and ProjectThe College is located in central Washtenaw County, between Ann Arbor and Ypsilanti,Michigan. It was established in 1965 and is a well-respected and well-supported communitycollege. The College’s academic offerings make WCC a standout among two-year institutionsacross the country. WCC’s personal enrichment and professional development courses forlicensing and certificate credentials as well as special classes for seniors help keep one of thenation’s highest degreed communities in step with trends and technology.Annually, over 20,000 students enroll in at least one credit course. The 2025-2026 General Fund Budget is approximately $146,000,000. Enrollmenthas increased modestly over the past few years, but projections of fewer Michigan highschool graduates in the coming years may present challenges.• The WCC Foundation’s primary responsibility is to raise funds in accordance with itsmission statement and to set policy for the investments of the Foundation’s endowment,spending, awarding of grants and scholarships, and acceptance of gifts. Its members areprominent community leaders committed to WCC and its students.• The College operates a Health and Fitness Center (HFC), which sells memberships to thegeneral public as well as to students and staff at a reduced price. The books and recordsare maintained by a third-party management company that the College has hired to runthe facility. The activity of the HFC is reflected in an Auxiliary Fund in the College’sannual report. Monthly activity for this operation is recorded on a summary basis in thefinancial software of the College.• The College handles federal and state funds, which have specific reportingrequirements. The majority of these funds are included in Federal funds reported in theSingle Audit completed in accordance with OMB Uniform Guidance. Due to the OMBdelay in finalizing the Uniform Guidance for 2025, the College’s report for the mostrecent fiscal year has yet to be finalized, but once published will reflect Federal awardstotaled approximately $38,000,000. No deficiencies in internal control wereidentified. The largest awards, outside of the Student Financial Aid Cluster, whichcomprised approximately $31,500,000, came from the Department of Treasury, throughthe State of Michigan, for Michigan Reconnect Expansion grants ($1,400,000) and ADNto BSN Completion Grants ($970,000).• The College is governed by a seven-member Board of Trustees elected for six-year terms.The Board meets monthly on the fourth Tuesday of the month.• The Foundation is governed by a Board of Directors comprised of up to 26-members whoserve a three-year term. The Board meets four times per year.• Audited financial reports for the fiscal years ended June 30, 2025, 2024 and 2023, areavailable at https://www.wccnet.edu/mywcc/faculty-staff/financial-services/reports.php.Additional College information can be found on the WCC website athttp://www.wccnet.edu. The Fiscal Year 2025 annual report reflects Total Assets ofapproximately $302,000,000; $2,400,000 in bond debt; and net position of $259,500,000,net of a Pension Liability Fund deficit of $105,200,000. The College’s unrestricted andunallocated net position was $11,300,000.• The College’s financial statements are prepared in accordance with generally acceptedaccounting principles as applicable to public colleges and universities outlined inGovernmental Accounting Standards Board (GASB) No. 35 and the Manual for UniformFinancial Reporting – Michigan Public Community Colleges, 2001. The Foundation isconsidered a component unit and is therefore included in the College financialstatements.• The College participates in the Michigan Public School State Employees RetirementSystem, and is subject to the reporting requirements of GASB Statement No. 68 andStatement No. 75.• The College uses the Ellucian Banner Financial System for all student and financialtransactions and is currently in the process of transitioning to Banner SaaS. MicrosoftExcel spreadsheets are also used to upload financial data into Banner.• The Foundation is a separate legal entity established as a 501(c)(3) not-for-profitcorporation and governed by its own Board of Directors. It is also discretely reported inthe College’s annual report. The Foundation has total assets of approximately$44,300,000 and annual contribution revenue of approximately $1 to $3 million.• The Foundation books and records are kept separately from the College using TheRaiser’s Edge and Financial Edge software. It uses the Common Fund as its investmentadvisor.5.0 Project Scope / Objective• Annual Financial Report for Washtenaw Community College• Single Audit of Federal Awards in accordance with OMB Uniform Guidance• Annual Financial Report for the Foundation• Federal Form 990 and 990T for the Foundation• Federal Form 990T for the College, if applicable• Financial Reports for other grant-funded projects requiring an external audit on an as-neededbasis.6.0 Project Specifications / RequirementsA. The proposal should include assembly of the reports, based on the information provided by Collegestaff. The College will provide the Management Discussion and Analysis as well as the draftstatements, footnotes, and schedule of expenditure of Federal awards, for incorporation into the finalreport.B. It is expected that the audit will be conducted in accordance with generally accepted auditingstandards (GAAS) as published by the American Institute of Certified Public Accountants and shallinclude reporting requirements and audit procedures required by:1. The Single Audit Act of 1984, as amended, and the Uniform Administrative Requirements, CostPrinciples, and Audit Requirements for Federal Awards (Uniform Guidance), 2 CFR Part 200,Subpart F.
