IntroductionThe purpose of this Request for Proposals (RFP) is for Washington County to secure services with a qualifiedMunicipal Advisory firm, herein referred to as Municipal Advisor (MA) or Contractor, to provide financialplanning, capital financing, debt management, and compliance oversight. The County is seeking a five-yearcontract. These services will go through the RFP solicitation process every five (5) years at minimum.1.1. Background InformationWashington County, Minnesota is the fifth most populous county in Minnesota with a diverse population,including longtime residents, young professionals and families, and new immigrant communities. Over thelast 20 years, Washington County has experienced rapid growth from a rural, farming community to anexpanding urban area.The County was established in 1849 and has the powers, duties, and privileges granted counties by statelaw, codified in Minn. Stat. § 373. The County serves an area of 423 square miles, with an estimatedpopulation of 262,748. The County’s fiscal year begins on January 1 and ends on December 31. The County isgoverned by a five-member County Board of Commissioners representing separate districts. In addition, theOffices of County Attorney and Sheriff are elected on a countywide basis.The County offers a full range of services including property tax administration, law enforcement andcorrections, public works, parks, solid waste management, library, community health, county extension,human resources, courts, and general administration. Scope of ServicesThe successful Contractor will have the ability to perform all the functions below. Contractors who cannotprovide the full range of requested services may submit a proposal but must clearly note any services listedin this request which would not be provided. Contractors are also encouraged to highlight any services forwhich they possess particularly notable qualifications.2.1. Mandatory ServicesThe MA will support the County in financial planning, capital financing, debt management, and complianceoversight. MA must have the necessary expertise to:• Assist in determining the best type of financing for the County, selecting other finance professionals,planning bond sale, and successfully selling and closing bonds.• Estimate funding needs and project debt service schedules while assessing fiscal and credit ratingimpacts to align capital budgets with broader fiscal and debt management strategies.• Support all aspects of debt issuance by collaborating with legal counsel, reviewing feasibility studies,recommending sale structures and methods, preparing the Official Statement, ensuring disclosurecompliance, and managing competitive or negotiated sales from presale analysis through closing.• Advise on market conditions, debt sizing, sale terms, and rating agency communications, whilecoordinating with finance professionals and presenting to the County Board.• Oversee ongoing post-issuance compliance by preparing annual continuing disclosures,disseminating required data, establishing compliance procedures, monitoring private-activity use,maintaining required records, and recommending remedial actions when needed.2.2. Other Requirements• MA must be registered with the Securities and Exchange Commission (SEC) and Municipal SecuritiesRulemaking Board (MSRB) and meet professional and testing standards.• MA is prohibited from engaging in activities on behalf of the County that produce a direct or indirectfinancial gain for the MA, other than the agreed-upon compensation, without the County’s informedconsent.3. Proposal ContentThe following will be considered minimum contents of the proposal and must be submitted:3.1. Cover LetterIntroduce the Contractor submitting the proposal and state the Contractor’s understanding of the services.Include name, address, telephone number, and email address of the contact person(s), as well as the namesof any others participating in the proposal.3.2. Fee ScheduleProvide all costs associated with the proposed contract for services in a complete and understandable form.Identify which fees are on a not-to-exceed basis. Describe any conditions attached to the fee schedule, andexplicitly state which costs are included, and which costs are to be reimbursed. Note: Any MSRB feesimposed upon MA should not be passed through to the County.Page |4RFP for Municipal Advisory Services3.3. ReferencesProvide three references for organizations currently utilizing your services that are similar in size and withsimilar needs as Washington County. Include agency name, contact name, email address, phone number,and a brief description of the services you provided.3.4. Appendix A – Qualifications and ExperienceComplete and submit the attached Appendix A.3.5. Appendix B – County’s Standard Terms and ConditionsSubmit a signed Appendix B as the Contractor to whom the contract is awarded shall be required to complywith the terms and conditions contained therein.3.6. Conflict of InterestThe Contractor must identify any potential conflict of interest it may have with the County or any otherparty or entity that may be affected by the terms of this RFP and responsive proposals. The Contractoragrees that, should any conflict or potential conflict of interest become known, it will immediately notify theCounty of the conflict or potential conflict, and will advise the County whether it will or will not resign fromthe other engagement or representation. Unless waived by the County, a conflict or potential conflict may,in the County's discretion, require withdrawal or rejection of the Contractor’s proposal.4. Proposal SubmittalProposals will be limited to no more than ten (10) pages in length, excluding a cover sheet, a cover letter,table of contents, and appendices. The proposal must be combined as one document and the font shall beno smaller than 11-point. All proposals must include Proposal Content set forth in Section 3 and be sentelectronically to the County Authorized Representative:Amanda HoffmanProcurement Specialist, Sr.Amanda.Hoffman@washingtoncountymn.govContractors must submit to the e-mail address above with a subject line clearly marked as ‘Company Name’Proposal for Municipal Advisory Services, no later than January 30, 2026, at 2:00 PM CST. Late submittalswill not be considered.All proposals, once submitted, become the property of the County. They will not be returned to theContractor. Submission of a proposal indicates acceptance by the Contractor of the conditions contained inthis RFP unless clearly and specifically noted in the proposal submitted and confirmed in the contractbetween the County and the selected Contractor.5. Proposal Evaluation and SelectionThe County will evaluate the information the Contractor provides in response to this RFP. Step one willconsist of a review to determine which proposals comply with all mandatory submission requirements.
