Competitive bids for furnishing and delivery of items asrequired and as set forth in these specifications prepared byCiTi are sought at this time.2. ALL questions with regard to this bid MUST be submitted inwriting. No questions will be entertained by any other means. Allquestions must be submitted at least ten (10) business daysprior to the official bid opening. In the event that the CiTi Business Office is closed due tounforeseen circumstances, the bid deadline will be extended tothe next business day that CiTi is open for business. The timeof day will remain at 1:00 p.m.9. A public bid opening will take place on Wednesday, July 1,2026 at 1:00 p.m.10. All public bid openings hosted by CiTi are made availablevirtually via the Zoom platform. For Sealed Bid Submissions: Bidders must supply signed hardcopies of their completed bid documents and vendor responsesheet in a sealed envelope marked with the name of the bidderand the bid number on the front of the envelope to the addresslisted in the manner specified within the bid documents.12. All express envelopes must be clearly marked with the words“Sealed Bid Enclosed” on the front of the outside envelope.This is important in assuring that the bid is delivered properly.The sealed bid envelope must be included in the expressenvelope.13. For Electronic Bid Submissions: Bidders must supply asigned photocopy of their completed bid documents and vendorresponse sheet via BidNet Direct.14. The proposal as presented shall remain valid for a minimumperiod of thirty (30) days from the date of bid opening.15. Bidder must insert the price per unit as specified and the priceextension accordingly against each item bid. In the event of adiscrepancy between the unit price and the extension, the unitprice will govern. Prices shall be extended in decimals, notfractions.16. In order to ascertain that bid items conform to thespecifications, vendors should provide CiTi with stock numbersfor reference during the analysis process. If CiTi is unable toverify that the item bid conforms to the specifications through acatalog, website or cut sheets, CiTi reserves the right to rejectthat item bid.17. BIDDERS PLEASE NOTE: The words "Or Equivalent" shallbe considered as added to each specification, except ininstances where “ONLY” or “NO SUB” is stated. It is theresponsibility of the bidder to notify CiTi when suchsubstitutions are incorporated. Please note anysubstitutions on the bid form. Please indicate yourCatalog/Vendor Item Number in the space provided on theelectronic bid form.CiTi reserves the right to develop a bid committee todetermine quality and compatibility of offered alternativesor substitutions. The decision of the committee as towhether an alternate or substitution is in fact “equal”shall be final.Bid Information, Instructions and Special Conditions, Page 1 of 218. The bidder shall state the discount that will be allowed forprompt payment. CiTi reserves the right to waive any informality on bidsreceived.21. This will be a one-time bid for a one-time purchase on/afterJuly 16, 2026.31. Failure to adhere to these instructions will constitutegrounds for rejection of the bid.Orders and Delivery22. CiTi will prepare a Purchase Order when ready to place anorder. Do not ship any items without receipt of a PurchaseOrder.23. The Purchase Order shall designate the place of delivery.24. Invoices shall be presented to CiTi(accountspayable@citiboces.org) for the quantities ordered asper the Purchase Order.25. CiTi is a governmental agency and is not subject to any salestax.26. After receipt of a purchase order, the vendor agrees to call thedistrict within three working days, concerning any out-of-stockitems, or defect in the purchase order.Force Majeure27. The successful bidder shall not be held responsible for anylosses resulting if the fulfillment of the terms of the contractshall be delayed or prevented by wars, acts of public enemies,strikes, fires, acts of God, or for any other acts not withincontrol of the successful bidder and which by the exercise ofreasonable diligence he/she is unable to prevent.Award28. Notice of Award shall be made to the successful bidder withinthirty (30) days from the date of bid opening. The award forthis bid will take place at the July 15, 2026 CiTi Board ofEducation Meeting.29. The bid award will be in an aggregate manner to the lowestresponsive, responsible bidder with a hauler on lot and readyfor immediate delivery.Bid Information, Instructions and Special Conditions, Page 2 of 2Center for Instruction,Technology & InnovationA Board of Cooperative Educational Services179 County Route 64Mexico, NY 13114GENERAL CONDITIONS(For the Purchase of Materials, Supplies,Equipment, and Services)All invitations to bid issued by the abovenamed Board of Cooperative EducationalServices will bind bidders and successfulbidders to the conditions and requirementsset forth in these general conditions, andsuch conditions shall form an integral partof each purchase contract awarded by theCenter for Instruction, Technology &Innovation (CiTi).DEFINITIONS“CiTi” Shall be the legal designation of theOswego County Board of CooperativeEducational Services/ Center for Instruction,Technology & Innovation.“School District” Shall be the legaldesignation of the district.“Notice to Bidders” A formal statement,which, when issued by the CiTi, constitutesan invitation to bid on the materials,supplies and equipment described by thespecifications.“Board” The Board of CooperativeEducation Services Board of Education.“Bid” An offer to furnish materials,supplies, and/or equipment in accordancewith the invitation to bid, the generalconditions, special instructions, and thespecifications.“Bid Offer” The form on which thevendor/bidder submits his bid.“Bidder” A company, corporation orindividual submitting a bid.“Contract” A notice to the successfulbidder by the issuance of a purchase order,all documents relating to the transaction,including but not limited to, the bid offer ofthe successful bidder, notice to bidders,general information, general conditions,specifications, notice of award, bid proposalcertifications; a formal document signed bythe successful bidder and the CiTirepresentative.“Successful Bidder” Any bidder to whoman award is made by the CiTi.“Contractor” Any bidder to whom acontract award is made by the Board ofCooperative Education Services.“Specifications” defined as the descriptionof materials, supplies, equipment, and/orservices, including the conditions for itspurchase.BIDS1. The date, time, and place of bidopening will be given in the Notice toBidders.2. All bids must be submitted on bidforms, if provided, and in accordancewith instructions provided.3. All bids received after the time statedin the Notice to Bidders may not beconsidered and will be returnedunopened to the bidder. The bidderassumes the risk of any delay in themail or in the handling of the mail byemployees of the CiTi. Whether sentby mail or by means of personaldelivery, the bidder assumesresponsibility for having his/her biddeposited on time at the placespecified.4. All information required by Notice toBidders, General Conditions,Specifications, and Bid Offer, inconnection with each item againstwhich a bid is submitted, must begiven to constitute a regular bid.5. The Non-Collusive BiddingCertification must be included witheach bid as required by GeneralMunicipal Law, Section 103-d.6. The submission of a bid will beconstrued to mean that the bidder isfully informed as to the extent andcharacter of the supplies, materials, orequipment required and arepresentation that the bidder canfurnish the supplies, materials, orequipment satisfactorily in completecompliance with the specifications.7. No alteration, erasure, or addition is tobe made in the typewritten, printed, orelectronic matter. Deviations from thespecifications must be set forth in thespace provided in the bid for thispurpose.8. Prices and information required shouldbe typewritten for legibility. Illegibleor vague bids may be rejected. Allsignatures must be written. Facsimile,printed, or typewritten signatures arenot acceptable.General Conditions - Page 1 of 49. Sales to school districts are notaffected by any fair-trade agreements.(General Business Law, Sec. 369-a,Sub. 3)10. No charge will be allowed for Federal,State or municipal sales and excisetaxes since CiTi is exempt from suchtaxes. The price bid shall be net andshall not include the amount of anysuch tax.11. In all specifications, the words “orequal” are understood after each articlegiving manufacturer’s name or catalogreference, or on any patented article.The decision of CiTi as to whether analternate or substitution is in fact“equal” shall be final. If bidding onitems other than those specified, thebidder must provide in every instancethe trade designation of the article,manufacturer’s name, and detailedspecifications of item the bidderproposes to furnish. Otherwise, the bidwill be construed as submitted on theidentical item as specified.12. Bids on equipment must be forstandard new equipment, of the latestmodel, and in current production,unless otherwise specified.13. All regularly manufactured stockelectrical items must bear the label ofthe Underwriters’ Laboratories, Inc.14. When bids are requested on a lumpsum basis, the bidder must bid on eachitem in the lump sum group. A bidderdesiring to bid “no charge” on an itemin a group must so indicate; otherwise,bid for the group may be rejected.15. All prices quoted must be “per unit” asspecified; e.g., do not quote “per case”when “per dozen” is requested;otherwise bid may be rejected.16. Bidder must insert the price per unitand the extensions against each item inhis bid. In the event of a discrepancybetween the unit price and theextension, the unit price will govern.Prices shall be extended in decimals,not fractions. In the case of electronicfiling via CD, diskette or travel driveof a bid response form, the electronicdata will take precedence over anywritten or printed material submittedwith the bid packet.17. All sealed bid submissions must be insealed, plain, opaque envelopes may beused, clearly marked “BID.” Also, thedate and time of the bid opening asindicated on the Notice to Biddersmust appear on the envelope. Bidsmust not be attached to or enclosed inpackages containing bid samples. Allelectronic bid submissions must besubmitted via BidNet Direct. Emailed,faxed or telephoned bids, quotations oramendments will not be accepted atany time.18. No interpretation of the meaning of thespecifications or other contractdocument will be made to any bidderorally. Every request for suchinterpretation should be in writing,addressed to the CiTi, no later than ten(10) days prior to the date fixed for theopening of bids. Notice of any and allsuch interpretations and anysupplemental instructions will be sentto all bidders of record by the CiTi inthe form of addenda so issued shallbecome a part of the solicitationdocuments.19. A bidder’s proposal, as presented, shallremain valid for a period of sixty days(60) from the date of bid opening.SAMPLES20. CiTi reserves the right to request arepresentative sample of the itemquoted upon either prior to the awardor before shipments are made. Ifcircumstances do not allow forsamples, please include informationwhere the items can be viewed in anindustrial or retail setting. If the sampleis not in accordance with therequirements of the specifications, CiTimay reject the bid; or, if an award hasbeen made, cancel the contract at theexpense of the successful bidder.21. Samples, when required, must besubmitted strictly in accordance withinstructions; otherwise, bid may not beconsidered. If samples are requestedsubsequent to bid opening, they shallbe delivered as directed for bid to haveconsideration. Samples must befurnished free of charge and must beaccompanied by descriptivememorandum invoices indicating if thebidder desired their return andspecifying the address to which theyare to be returned provided they havenot been used or made useless by tests.Award samples may be held forcomparison with deliveries. The CiTiwill not be responsible for any samplesdestroyed or mutilated by examinationor testing. The bidder at his expenseshall remove samples. Samples notremoved within fifteen (15) days afterwritten notice to the bidder will beregarded as abandoned and the CiTishall have the right to dispose of themas its own property.22. When a specification indicates that anitem to be purchased is to be equal to asample, such sample will be on displayat a designated location in the CiTi.Failure on the part of the bidder toexamine sample shall not entitlehim/her to any relief from theconditions imposed in the proposal,specification, etc.AWARD23. Awards will be made to the lowestresponsible bidder, as will bestpromote the public interest, taking intoconsideration the reliability of thebidder, the quality of the materials,equipment, or supplies to be furnished,their conformity with thespecifications, the purposes for whichrequired, and the terms of delivery.24. CiTi reserves the right to reject allbids. Also reserved is the right toreject, for cause, any bid in whole or inpart; to waive technical defects;qualifications; irregularities; andomissions if in its judgment the bestinterests of the district will be served.Also reserved is the right to reject bidsand to purchase items on State orCounty contracts if such items can beobtained on the same terms, conditions,specifications, and at a lower price.25. The CiTi reserves the right to makeawards within thirty (30) days after thedate of the bid opening during whichperiod bids may not be withdrawnunless the bidder distinctly states in hisbid that acceptance thereof must bemade within a shorter specified time.26. Where a bidder is requested to submit abid on a total sum or sums, the right isreserved to award contracts on totalsum or sums, whichever is in the bestinterest of the CiTi.27. If two or more bidders submit identicalbids as to price, the decision of theboard to award a contract to one ofsuch identical bidders shall be final.(General Municipal Law, Sec. 103,Sub. 1)CONTRACT28. Each bid will be received with theunderstanding that the acceptancethereof in writing by the board, tofurnish any or all of the itemsdescribed therein and shall constitute acontract between the successful bidderand the school district. The contractshall bind the successful bidder tofurnish and deliver at the award pricesand in accordance with the conditionsof this bid.29. The placing in the mail of a notice ofaward or purchase order to a successfulbidder, to the address given in his bid,will be considered sufficient notice ofacceptance of contract.30. If the successful bidder fails to deliveras ordered, or within the timespecified, or within reasonable time asinterpreted by the CiTi, or fails tomake replacement of rejected articles,when so requested immediately or asdirected CiTi, CiTi may purchase fromother sources to take the place of theitem rejected or not delivered. CiTireserves the right to authorizeimmediate purchase from other sourcesagainst rejections on any contract whennecessary. On all such purchases, thesuccessful bidder agrees to reimbursethe CiTi promptly for excess costsoccasioned by such purchases. Shouldthe cost be less, the successful biddershall have no claim to the difference.Such purchases will be deducted fromthe contract quantity.31. A contract may be canceled at thesuccessful bidder’s expense uponnonperformance of contract.32. Cancellation of contract for any reasonmay result in the removal of thesuccessful bidder’s name from themailing list for future proposals for anindeterminate period.33. Damaged Products – During thescheduled delivery times, the vendoragrees to remove all damaged casesthat are visible and all products that arefound damaged upon opening, orproducts which do not meetspecifications.34. When materials, equipment, orsupplies are rejected, they must beremoved by the successful bidder fromthe premises of the school districtwithin ten (10) days of notification.Rejected items left longer than ten (10)days will be regarded as abandoned,and the school district shall have theright to dispose of them as its ownproperty.General Conditions - Page 2 of 4
