LEGAL ADVISORY SERVICES RELATED TO THE DISTRICT FINANCING PROGRAM

The Metropolitan Water Reclamation District of Greater Chicago (“District”) requests proposals from any
prospective Proposer for the above captioned subject, which is described in document 25-RFP-19.
PROPOSALS ARE DUE FRIDAY, FEBRUARY 27, 2026.
Sealed proposals, endorsed as above, will be submitted to the District via an electronic upload to the Euna
Procurement Portal only. See “Submission Via the Euna Procurement Portal” in Section VI for
instructions. Proposals will be accepted from the date of the Invitation to Bid, up to 11:00 A.M. Central
Time (“CT”), on the due date stated above.
No proposals will be accepted after 11:00 A.M. CT on the above scheduled due date. Mail or hand-
delivered proposals will not be accepted. There is no Bid Depository safe for this purpose.
The objective of 25-RFP-19 is to identify qualified law firms as eligible to provide legal advisory services
for the MWRD’s financing program for the next five years, comprising: 1) General Legal Advisory
Services; 2) Bond Sale Transaction Legal Advisory Services, including service as bond counsel, issuer’s
counsel, tax counsel, and disclosure counsel; and 3) Loan Program Legal Advisory Services for loans
from the Illinois Environmental Protection Agency (IEPA) Water Pollution Control State Revolving Fund
(SRF) and the US Environmental Protection Agency (USEPA) Water Infrastructure Finance and
Innovation Act (WIFIA) loan programs.
The District reserves the right to extend the term of the contract for an additional period of up to two (2)
years beyond the initial five-year term, in one-year increments. This extension option may be exercised
at the sole discretion of the District, subject to the approval of the Board of Commissioners. The terms
and conditions of the contract, including pricing, shall remain the same during the extension period unless
otherwise agreed upon in writing by both parties.
A firm may submit a response for one or more of the above services. The submittal must clearly state for
which of the above service(s) the firm is submitting a proposal.
The appointed general legal advisory counsel will be responsible for providing arbitrage rebate
calculations and opinions on outstanding bond issue project and debt service funds on an annual basis as
required per Section 148(f) of the Internal Revenue Code of 1986. While the legal counsel may outsource
these calculations to a third party, the legal counsel will remain the primary point of contact and will be
responsible for reviewing, signing off on, and ensuring the accuracy and compliance of all arbitrage
calculations. From the District's perspective, the legal counsel is ultimately responsible for the arbitrage
calculations and will be the main point of contact for any related inquiries or issues. The District will pay
the legal counsel for the arbitrage calculations, and any payments to third parties for outsourced work will
be the responsibility of the legal counsel.

The estimated five-year cost of the general legal advisory services including arbitrage calculation services
is $235,100.00, which excludes any costs related to bond sale transactions. The cost of the bond sale
related services will be dependent on the size of each bond sale authorization. Any bond sale related costs
will be subject to separate approval by the Board of Commissioners. Fees related to advisory services on
bond sales will be based on a rate per $1,000 bond.
The estimated five-year cost of legal services related to the IEPA SRF and USEPA WIFIA loan programs
will be awarded to a single firm at a total estimated cost of $250,000. The cost of these loan program-
related services will be based on the finalized amount of each loan.
No bid deposit is required.
Copies of the Request for Proposal (“RFP”) are only available online from the District’s website at
www.mwrd.org (DOING BUSINESS PROCUREMENT & MATERIALS MANAGEMENT
CONTRACT ANNOUNCEMENTS). No fee is required for the RFP documents. Any questions regarding
the downloading of RFP documents should be directed to contractdesk@mwrd.org, or call (312) 751-
6643.
Further, the District assumes no liability or responsibility for the failure or inability of any Proposer to
successfully download any and all contract documents, including but not limited to specifications,
proposal forms and/or plans, as a result of any type of technological computer and/or software system
failure or breakdown that restricts, prohibits, or prevents successful downloading of any and all District
contract documents by the Proposer, whether caused by the District or other parties, directly or indirectly.
Proposers are to include with their proposal signed copies of any addenda, or acknowledge receipt of any
addenda, if the District issued any addenda to this RFP. Failure to do so may be cause for the rejection of
any proposal. Proposal documents are available only online, and any addenda issued for this contract will
be available online at the District’s website, www.mwrd.org (Doing BusinessProcurement and
Materials ManagementContract Announcements). Addenda will also be emailed/faxed to each person
receiving a set of such contract documents and to such other prospective Proposers as shall have
requested that they be furnished with a copy of the addenda.
If any potential Proposer contemplating to submit a proposal is in doubt as to the true meaning of any part
of the specifications or other contract documents, such inquiry should be submitted online at the District’s
website, www.mwrd.org. The path is as follows: Doing BusinessProcurement and Materials
ManagementContract Announcements. The District will provide an online response to such inquiries,
as the District deems appropriate. Strings of appropriate questions and answers regarding the proposal
documents will be available online on the District’s website until the proposal due date of the RFP. No
questions will be accepted by telephone, fax, email, mail, or any other such form of delivery.
The District will only respond to questions received online ONE WEEK prior to the date set to receive
proposals. The District will not respond to questions received after this date. The District does not
guarantee the timeliness of responses provided online, nor does the District guarantee that such responses
will be provided in adequate time to affect the submission of bids. The District shall provide responses
online ONLY if the responses do not interpret or otherwise change the bidding documents.
The District’s online responses are NOT official responses and, therefore, are not binding to the bidding
documents. Any official interpretation or change to the bidding documents will be made only by addenda
duly issued to all plan holders on record by the Director of Procurement and Materials Management.
