The EPM will be responsible for the oversight of the District Program through the life of the program. In general, the EPM is intended to provide program-level leadership to ensure overall success of the Program. The EPM must have significant experience in the leadership and management of similar large integrated Programs. Such talent must be able to provide effective program executive management, advise the City’s executive management team, and discuss the Program at outreach events throughout the community. At a minimum the scope of services will include the following: Review, comment, and advise on Program planning and design alternatives as to consistency with Program objectives and priorities, including delivery methods and phasing. Review, comment, and advise on Program phasing, constructability, maintenance, and operations. Participate in on-going design and project construction to the extent required to facilitate efficient delivery and accomplishment of Program objectives. Develop the Program implementation strategy around the City’s development priorities.

Under Section 2-309 of the Municipal Campaign Finance Code, the following areprohibited from making a campaign or officeholder contribution to any member of City Council, candidate forCity Council or political action committee that contributes to City Council elections beginning on the *10thbusiness day after a contract solicitation has been released through the 30th calendar day following theapproval by City Council (“blackout” period):1. Any individual seeking a high-profile contract;2. Any owner, officer, officer of board, executive committee member, and general board member of anentity seeking a high-profile contract;3. The proposed District would be anchored by an expansion of the convention center,improvements to the Alamodome, a new event venue for downtown, a convention center hotel, andpotentially a new arena for the San Antonio Spurs. Coordination will also be required between theproposed projects and the related infrastructure plan currently in development, to ensure alignment andto support improvements in traffic flow throughout The District.The EPM will be part of a City-led team that will be a blend of City and EPM staff. The District willinclude projects with wide ranges in scope and complexity (the “Program”). The size and scale of theseprojects along with their required integration and interdependency, anticipated concurrentimplementation of certain projects, and overall complexity of The District will require the EPM to provideand assist the City with expertise and specialty technical services for the program to be successful. Thesuccessful EPM will be experts with deep program management experience and able to provide theCity with various program management support services, as requested, for the duration of the Program.The preferred EPM firm would have multifaceted technical experience delivering multibillion-dollarconstruction programs, using alternative project delivery methods, and implementing innovativetechnologies to support communications. The Program is expected to be phased in over a period oftime with the Convention Center Expansion being the first project to begin within the DistrictProgram. Resources provided by the EPM should be scalable based upon the stages of implementationof various projects within the District. For more information regarding the San Antonio Sports andEntertainment District attached is a public presentation made to the San Antonio City Council onNovember 21, 2024, RFQ Exhibit 12.This EPM contract is anticipated to be awarded in April 2026.004 - SCOPE OF SERVICEThe EPM will be responsible for the oversight of the District Program through the life of the program.In general, the EPM is intended to provide program-level leadership to ensure overall success of theProgram. The EPM will be required to serve on an Executive SteeringCommittee (ESC) established for the Program. The EPM’s scope of services will include theresponsibility for providing effective leadership and management to ensure the successful completion4and commissioning of the Program in compliance with the approved scope, schedule, and budget andlevel of quality expected. The EPM will collocate with the City staff. If needed, direct support staff forthe EPM should be included in the response to this solicitation.The EPM will be responsible for assisting the City with oversight of the District Program through thecompletion of the final development phase of program. The EPM will be required to assist the City withthe development of the program phases and timelines. The successful Respondent shall assemble amulti-disciplinary team experienced with Executive Program Management for large constructionprograms preferably for large multi-phased entertainment districts. EPM will be required to deliver theProgram Management scope of services as outlined and will not be eligible to compete for contractsfor the design or construction of projects within the District Program.005 - ADDITIONAL REQUIREMENTSIntellectual Property.If selected, Respondent agrees to abide by the following regarding intellectual property rights:Respondent shall pay all royalties and licensing fees. Respondent shall hold the City harmless andindemnify the City from the payment of any royalties, damages, losses or expenses includingattorney's fees for suits, claims or otherwise, growing out of infringement or alleged infringement ofcopyrights, patents, materials and methods used in the performance of services. It shall defend allsuits for infringement of any Intellectual Property rights. Further, if Respondent has reason to believethat the design, service, process, or product specified is an infringement of an Intellectual Propertyright, it shall promptly give such information to the City.Upon receipt of notification that a third party claims that the program(s), hardware or both theprogram(s) and the hardware infringe upon any United States patent or copyright, Respondent willimmediately:Either:obtain, at Respondent’s sole expense, the necessary license(s) or rights that would allow theCity to continue using the programs, hardware, or both the programs and hardware, as thecase may be, or,alter the programs, hardware, or both the programs and hardware so that the allegedinfringement is eliminated, andreimburse the City for any expenses incurred by the City to implement emergency backupmeasures if the City is prevented from using the programs, hardware, or both the programsand hardware while the dispute is pending.Respondent further agrees to:assume the defense of any claim, suit, or proceeding brought against the City for infringementof any United States patent or copyright arising from the use and/or sale of the equipment orsoftware under this Contract,5
