Notice is hereby given that the South Amboy Redevelopment Agency ("SARA" or the "Agency") will be seeking qualifications for the provision of professional services. The qualifications are being sought as part of a fair and open process being undertaken by the Agency pursuant to N.J.S.A 19:44-20.4 et seq. Pursuant to the Agency's policy this Public Notice shall be advertised on the City of South Amboy's internet website within ten (10) days of receipt of responses from interested parties. Submissions are required to comply with requirements of N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27-1 et seq. All interested parties should contact Kelly Wolff at wolffk@southamboynj.gov or 732.525.5929 to request a submission packet. Responses to provide the services will be received by the South Amboy Redevelopment Agency, Kristal Manion, QPA, 140 N. Broadway, South Amboy, New Jersey until 1:00 p.m. prevailing time on Thursday, May 28, 2026, at which time the responses will be publicly opened and the name of the responder shall be read aloud.
LEGAL COUNSEL The Agency is seeking legal services as General Counsel for the redevelopment activities of the Agency, effective July 1, 2026 through June 30, 2027. The minimum threshold criteria that will be utilized for the evaluation for the responses shall be as follows:
a) Licensed to practice law in the State of New Jersey for a minimum of ten (10) years;
b) Evidence of professional liability insurance;
c) Personal, direct representation of governmental entities in the field of redevelopment, with a particular emphasis on Redevelopment authorities, for a minimum of five (5) years;
d) Knowledge of the City of South Amboy, the Agency and its redevelopment projects;
e) Ability to accommodate any required meetings of the Agency;
f) Compensation proposal;
g) Any other factors demonstrated to be in the best interest of the Agency. In addition to the criteria set forth above, all responses must include the following:
a) Full name and business address.
b) List of licensed professionals employed.
c) Confirmation of authority to do business in the State of New Jersey
d) List of public entities served by business entity including dates of service. Responses shall be reviewed by the Agency according to the above criteria. SARA will award the contract pursuant to this fair and open process by Resolution at a public meeting. The Agency (SARA) reserves the right to reject any and all submissions. "Due Date" - refers to the date and time by which Qualification Statements must be received by theRedevelopment Agency in order to be considered for award of the contract or position. "Qualification Statement" - refers to a Respondent’s complete response to this RFQ. "Qualified Respondent" - refers to those Respondents who (in the sole judgment of theRedevelopment Agency) have satisfied the qualification criteria set forth in this RFQ. "RFQ" - refers to this Request for Qualifications, including any amendments thereof orsupplements thereto. "Respondent" or "Respondents" - refers to the interested individuals and firms that submitQualification Statements. “Services” – refers to the professional services the Redevelopment Agency seeks in this RFQprocess. “Successful Respondent” – refers to the Respondent selected by the Redevelopment Agency toperform the Services.SECTION 1INTRODUCTION AND GENERAL INFORMATION1.1 Introduction and Purpose.The Redevelopment Agency is soliciting Qualification Statements from interested persons and/orfirms for the provision of the professional services described herein. Through a Request for Qualificationprocess, persons and/or firms interested in assisting the Redevelopment Agency with the provision of suchservices must prepare and submit a Qualification Statement in accordance with the procedure and schedulein this RFQ. The Redevelopment Agency will review only Qualification Statements that include all therequired information as described herein. The Redevelopment Agency intends to qualify persons and/orfirms that (a) possess the professional capabilities to provide the proposed services; (b) will agree to workunder the compensation terms and conditions set forth; and (c) have demonstrated the capability andwillingness to provide high quality services to the Redevelopment Agency.1.2 Procurement Process and Schedule.The selection of Qualified Respondents is subject to the New Jersey Local Unit Pay-to-Play Law,2N.J.S.A. 19:44A-20A et seq. The Redevelopment Agency has structured a competitive procurement processwhich insures that anyone interested in providing the services sought has an opportunity to submit aQualification Statement in response to this RFQ. The Redevelopment Agency will evaluate responses tothis RFQ in accordance with the criteria set forth in Section 5. Based upon the totality of the informationcontained in the Qualification Statement, and from the Respondents’ references, the RedevelopmentAgency will determine which Respondents are qualified. Each Respondent that meets the requirements ofthe RFQ (in the sole judgment of the Redevelopment Agency) will be designated as a Qualified Respondent,and will be considered for selection by the Redevelopment Agency.The RFQ process commences with the issuance of this RFQ. The steps involved in the process andthe anticipated completion dates are stated in the Anticipated Procurement Schedule. The RedevelopmentAgency reserves the right to, among other things, amend, modify or alter the Procurement Schedule uponnotice to all potential Respondents who have provided contact information to the Agency upon receipt ofthis RFQ.Qualification Statements must be received by the Redevelopment Agency’s DesignatedContact Person, via mail or hand delivery, by 1:00 PM prevailing time on Thursday, May 28, 2026.Qualification Statements received after 1:00PM on Thursday, May 28, 2026 will be returnedunopened.All communications concerning this RFQ or the RFQ process shall be directed to theRedevelopment Agency’s Designated Contact Person, in writing. Award of Professional Service AgreementJune 4, 20261.3 Conditions Applicable to RFQ.Upon submitting a Qualification Statement in response to this RFQ, the Respondent acknowledgesand consents to the following conditions:•This document is an RFQ and does not constitute an RFP.•This RFQ does not commit the Redevelopment Agency to issue an RFP.3•All costs incurred by the Respondent in connection with responding to this RFQ shall beborne solely by the Respondent. There shall be no claims whatsoever against theRedevelopment Agency, its staff or consultants for reimbursement or payment of costs orexpenses incurred in the preparation of the Qualification Statement or other informationrequired by the RFQ.•The Redevelopment Agency reserves the right to reject for any reason any and all responsesand components thereof.•The Redevelopment Agency reserves the right to reject any Respondent that submitsincomplete responses to this RFQ, or a Qualification Statement that is not responsive to therequirements of this RFQ.•The Redevelopment Agency reserves the right, without prior notice, to supplement, amend,or modify this RFQ, or to request additional information.•All Qualification Statements shall become the property of the Redevelopment Agency andwill not be returned.•All Qualification Statements will be made available to the public at the appropriate time,as determined by the Redevelopment Agency in accordance with law.•Any Qualification Statements not received by the Redevelopment Agency timely will berejected.•The Redevelopment Agency shall not be liable for any claims or damages alleged to havebeen incurred as a result of this RFQ process, including the Redevelopment Agency’sreview of Qualification Statements and its award of contracts.1.4 Rights of Redevelopment Agency.The Redevelopment Agency reserves the following rights with regard to this RFQ and theprocurement process in accordance with the provisions of applicable law:•To determine that any Qualification Statement received complies or fails to comply withthe terms of this RFQ.•To supplement, amend or otherwise modify the RFQ through issuance of addenda to allprospective Respondents who have received a copy of this RFQ.•To waive any technical non-conformance with the terms of this RFQ.•To change or alter the schedule for any events called for in this RFQ upon the issuance ofnotice to all prospective Respondents who have received a copy of this RFQ.4•To conduct investigations of any or all of the Respondents, as the Redevelopment Agencydeems necessary or convenient, to clarify the information provided as part of aQualification Statement, and to request additional information to support the informationincluded in any Qualification Statement.• To suspend or terminate the procurement process described in this RFQ at any time,commence a new procurement process, or exercise any other rights provided underapplicable law without any obligation to the Respondents.The Redevelopment Agency shall be under no obligation to complete all or any portion of theprocurement process described in this RFQ.1.5 Addenda or Amendments to RFQ.After the issuance of the RFQ, but no later than five (5) business days prior to the Due Date, theRedevelopment Agency may issue addenda, amendments or answers to written inquiries. Addenda will benoticed by the Redevelopment Agency and will constitute a part of the RFQ. All responses to the RFQshall be prepared with full consideration of any addenda issued.1.6 Proposal Format.Responses should cover all information requested in Section 3 of this RFQ. Responses that do notmeet the requirements of the RFQ or which are in any way conditional, incomplete, obscure, containadditions or deletions from requested information, or contain errors may be rejected.SECTION 2SCOPE OF SERVICESThe Agency seeks Qualification Statements from Respondents that have expertise in the provisionof Legal Counsel Services. Respondents must be able to demonstrate that they have and will continue tohave the capabilities to perform the Services.The Agency shall expect the successful Respondent to:a. Provide advice and prepare reports, presentations and research on redevelopment for theAgency, commissioners and professionals as requested;b. Assist the Agency on Redevelopment rules and regulations;c. Represent the Agency as directed in meetings with state agencies, Middlesex County andother municipalities;5
