General OverviewThe Village of Plain City (the “Village”) is soliciting bids for vendor(s) to design and build a metalor wood pole barn at 225 Central Avenue, Plain City, Ohio 43064. The location is the current siteof the Public Works Department. Pole barn building size shall be no less than 40’ wide by 80’deep with four overhead garage doors with powered openers (12’ x 12’) and two walk-throughdoors, concrete floor with drainage, building heat, electric and lighting. Project shall include alldesign, drawings, site permitting, excavation, brush/tree removal, preparatory work,concrete/stone, materials, labor and electrical associated with the building. The selected vendoris responsible for obtaining all appropriate stamped drawings, as approved by a professionalengineer, and obtain all required permits, inspections, and approvals from the Village of WestJefferson Building Department for the project. The desired term of this agreement between theVillage and the selected vendor(s) will be effective immediately and conclude upon buildingcompletion.2. Vendor DisclosuresVendor must provide a disclosure of any pending or threatened court actions and/or claimsagainst the vendor. This information may not cause rejection of the proposal; but withholding theinformation may be cause to reject the proposal and/or termination of any potential contract.5. Conflict of InterestNo vendor will promise, or give to any Village employee anything of value that could influencethat employee in their decision on awarding contracts. No vendor may attempt to influence anemployee of the Village to violate any procurement policies of the agency, the Ohio RevisedCode, or Federal Procurement Regulations.Page 3 of 156. Contractual Requirements(1) Insurance - The Contractor shall not commence work under the Contract until it hasobtained all the insurance required hereunder and has submitted, in quadruplicate, anappropriate Declaration of Insurance, as evidence of coverage which has been approvedby the Village and concurred by the Engineer. The Contractor shall not allow anySubcontractor to commence work on its subcontract until all similar insurance required bythe Subcontractor has been so obtained and approved. Approval of the insurance by theVillage shall not relieve or decrease the liability of the Contractor hereunder. Suchinsurance is as follows:A. Workmen’s Compensation and Employers Liability as required by the laws of theState of Ohio.B. The Contractor shall acquire and maintain during the term of the Contract BodilyInjury and Property Damage Liability Insurance under a standard ComprehensiveGeneral/Automobile Liability Policy which shall provide and include coverage onall Contractor's Operations, Protective (Sublet) Liability, Contractual Liability,Completed Operations Liability, Owned Automobiles and Non-Owned and HiredAutomobiles.C. Coverage for an "if any" basis: Property Damage Liability Insurance shall beprovided on any demolition, blasting, excavating, shoring or similar operation onan "if any" basis.D. Bodily Injury Liability limits shall be for an amount of no less than One-Million($1,000,000.00) Dollars for injuries, including wrongful death to any one personand subject to the same limit for each person, in an amount of not less than One-Million ($1,000,000.00) Dollars on the account of any one occurrence.E. Property Damage Liability Insurance in an amount of not less than One-Million($1,000,000.00) Dollars per occurrence with General Liability extended to provide"Broad Form Property Damage Liability" and in an amount of not less than Two-Million Five-Hundred Thousand ($2,500,000.00) Dollars aggregate for damage onaccount of all occurrences.F. Any combination of underlying Comprehensive General/Automobile Liabilitycoverage with Umbrella/Excess Liability coverage which provides no less thanTwo-Million Five-Hundred Thousand ($2,500,000.00) Dollars Single Limit BodilyInjury & Property Damage Liability Insurance for the Contractor will also beacceptable.(2) Prevailing Wage – Pursuant to R.C. 4115.03, the prevailing wage does not apply to thisproject as the total contract price is less than $250,000.(3) Requirements of Contract Performance Bond – Provided that the successful Bidderhas not previously submitted a combined Bid Guaranty and Contract Bond with the BidProposal, the successful bidder must, within ten (10) days after the award, and beforeentering into contract, furnish a bond in form consistent with the requirements of Section153.54 and related sections of the Ohio Revised Code, to the approval of, and of the formprescribed by the Village, in an amount equal to one-hundred (100) percent (%) of the fullamount of the bid. Said Performance Bond shall have a date of validity until "final payment"is deposited with the Contractor or until a later date as required.(4) Execution of Contract - The Contract shall be signed by the successful Bidder andreturned, together with the performance bond, if applicable, within ten (10) days after thebidder has received notice that the Contract has been awarded. No proposal shall beconsidered binding upon the Village until the execution of the Contract and performancePage 4 of 15bond.(5) Failure to Execute Contract - Failure to execute and file an acceptable performancebond, if applicable, and as provided herein within ten (10) days from date of award shallbe just cause for the annulment of the award and the forfeiture of the bid guaranty to theVillage, not as a penalty, but as liquidated damages. Award may then be made to the nextlowest and best bidder or the work may be re-advertised, as determined by the Village.Said forfeiture shall be guided by the provisions of Section 153.54 of the Ohio RevisedCode.(6) Lump Sum Contract - If the work is let on the basis of a lump sum contract, the estimatedquantities of work are only approximate, although the result of calculations, and the biddermust obtain and be responsible for the data upon which it based its bid. It shall not beentitled to any additional compensation in case the quantities of work actually done to fulfillthe contract and complete the project are greater than said estimate quantities, andassumes all risks for any mistakes in calculations.(7) Auditor of State - Section 9.24 of the Ohio Revised Code prohibits the Village fromawarding a contract to any entity against whom the Auditor of State has issued a findingfor recovery, if the finding for recovery is “unresolved” at the time of award. By submittinga bid, the vendor warrants that it is not now, and will not become, subject to an“unresolved” finding for recovery under R.C. 9.24 prior to the award of any contract arisingout of the RFP without notifying the Village of such finding. The Village will review theAuditor of State’s website prior to completion of evaluations of bids submitted pursuant tothis RFP. The Village will not evaluate a bid from any vendor whose name or the name ofany of the subcontractors proposed by the vendor, appears on the website of the Auditorof the State of Ohio as having an “unresolved” finding for recovery.(8) Federal Acquisition Regulation (FAR) - Subpart 9.405(d) requires the Village to reviewthe Federal Excluded Parties Lists System prior to the award of any contract arising out ofthe RFP. The Village will not evaluate a bid from any vendor whose name or the name ofany subcontractors proposed by the vendor appears on the Federal Excluded Parties List.(9) Equal Employment Opportunity - The vendor shall comply with Executive Order 11246,“Equal Employment Opportunity” as amended by Executive Order 11375 andsupplemented by Department of Labor Regulations.(10) Amendment - This contract may be amended at any time by written instrument,agreed to, and signed by all parties. Either party, the Village or the vendor, upon thirty (30)days written notice given by either party to the other may terminate this contract.(11) Breach - The vendor shall not be relieved of liability to the Village for damagessustained by the Village by virtue of any breach of contract by the vendor. The Villagereserves the right to legal, administrative, and contractual remedies for damages sustainedby the Village by virtue of any breach of the contract by the vendor. The Village maywithhold any compensation from the vendor until the amount of damages due from thevendor is agreed upon or otherwise terminated.(12) Non-Discrimination - The vendor agrees that there shall be no discrimination againstany customer or any employee because of race, color, sex, religion, disability, nationalorigin, or any other factor as specified in Title VI of the Civil Rights Act of 1964,Rehabilitation Act of 1973 and subsequent amendments. It is further agreed that thevendor will comply with all appropriate federal and state laws regarding suchdiscrimination.(13) Audit - The vendor shall retain and make available for audit by the Village, the State ofOhio (including, but not limited to, the Auditor of the State of Ohio, Inspector General, ofPage 5 of 15
